Corporate Attorney

IMPORTANT:
Candidates must be licensed and in good standing with the Minnesota Bar. We are seeking an experienced commercial attorney who can bring an established book of business or join at the junior-partner level with the opportunity to develop and grow a practice. This is a hybrid position requiring three days per week in the Minnesota office.

A growing corporate and commercial law practice is seeking an experienced Commercial Attorney with 8+ years of general corporate, commercial, and M&A experience to join its team.

The ideal candidate is an established attorney with an entrepreneurial mindset who either has an existing book of business to bring to the practice or is ready to step into a junior-partner-level role with the opportunity to build and expand a long-term practice.

The successful candidate will have significant experience advising businesses on corporate and commercial matters, including serving as outside general counsel. This opportunity provides experienced attorneys with flexibility, autonomy, and a collaborative environment in which to develop and grow their practice.

• Advise businesses on a broad range of corporate, commercial, and transactional matters.
• Serve as outside general counsel to business clients.
• Represent clients in mergers and acquisitions and other strategic transactions.
• Advise clients on corporate governance, business formation, restructuring, and strategic matters.
• Draft, review, and negotiate commercial agreements and transaction documents.
• Develop and maintain long-term client relationships.
• Manage and expand an existing book of business, where applicable.
• Identify and pursue opportunities for business development and practice growth.
• Counsel clients on legal risks while providing practical, business-focused solutions.
• Collaborate with attorneys across practice areas to provide comprehensive legal services.

• 8+ years of legal experience in corporate, commercial, and/or M&A matters.
• Active Minnesota Bar license and good standing required.
• Significant experience representing businesses in corporate and commercial matters.
• Experience serving as outside general counsel strongly preferred.
• M&A and transactional experience preferred.
• Established book of business preferred or demonstrated ability and desire to develop one.

The firm’s expected base salary range for this position is $278,000
, with actual compensation dependent upon the candidate’s experience, skills, educational and professional background, and overall qualifications.

Candidates with an established book of business or those joining at the junior-partner level may be considered for individualized and negotiable compensation arrangements
