The Senior Project Manager, Governance will support subsidiary legal entity management, public company governance, and key strategic initiatives for the Office of the Corporate Secretary and Governance function. This role's primary focus will be drafting and managing the legal documentation required for internal mergers and legal entity restructuring initiatives.

This position follows an office-based schedule withfour in-office days per week.

Primary Responsibilities:
  • Subsidiary Governance & Transactions
    • Draft and manage subsidiary legal documentation, including internal mergers, restructurings, and approvals
    • Prepare board, shareholder, and officer actions
    • Perform legal research related to state statutes and other regulations
    • Support enterprise-wide legal entity optimization initiatives
  • Public Company Corporate Governance
    • Support board and committee processes, including materials preparation and governance documentation
    • Assist with annual meeting readiness, disclosures, and corporate records management
    • Coordinate governance deliverables across Legal, Finance, and Investor Relations
  • Strategic Operations / Chief of Staff Support
    • Coordinate governance team initiatives and priorities
    • Support executive deliverables, reporting, and presentations
    • Track timelines, regulatory requirements, and key action items
  • Process Improvement & Risk Management
    • Enhance governance templates, processes, and controls
    • Ensure audit-ready documentation and compliance with internal policies
    • Identify and mitigate governance-related risks

Required Qualifications:
  • 7+ years of paralegal, corporate governance, or legal operations experience
  • Experience drafting corporate legal documents (e.g., mergers, resolutions, governance materials)
  • Solid knowledge of corporate governance frameworks and legal entity structures
  • Proven ability to manage complex work streams with high attention to detail
  • Demonstrated solid collaboration and communication skills
Preferred Qualifications:
  • Experience supporting a public company or large, complex organization
  • Corporate Secretary or governance team experience
  • Exposure to regulated entities (e.g., insurance or financial services)
  • Advanced proficiency in Microsoft Office tools
  • Demonstrated solid executive presence and stakeholder management skills
Soft Skills:
  • Highly organized and detail-oriented
  • Proactive and solution-driven
  • Ability to manage competing priorities in a fast-paced environment
  • Solid written and verbal communication skills
