As Corporate Counsel, you will provide strategic legal guidance to management, handling litigation, transportation law, employment law, contracts, compliance, and corporate governance to mitigate risks and align business operations with best practices.
Contract Management & Negotiation- Draft, review, and negotiate construction contracts, subcontracts, vendor agreements, and service agreements with team members.
- Ensure compliance with federal, state, and local construction laws and industry regulations.
- Participate in negotiations on behalf of the company and its entities with team.
- Manage contract disputes, claims, and change orders to mitigate legal exposure with team.
- Conduct legal research where necessary.
- Write letters and other communications and notices.
- Assist in the development and enforcement of company policies related to legal and regulatory compliance.
- Oversee legal claims, including construction defect litigation, contract disputes, and worker safety issues with team.
- Coordinate with external counsel on litigation strategy and case management.
- Represent the company in mediation, arbitration, and other dispute resolution proceedings with team.
- Assist in preparing case files, documentation, and legal arguments for mediation sessions with team.
- Review, analyze, and advise business segments on risks related to insurance coverage and claim applicability.
- Support HR in handling employee disputes, EEOC claims, and workplace investigations.
- Maintain corporate records, legal documentation, and compliance filings.
- Assist with business transactions, mergers, and acquisitions as needed.
- Ability to develop optimistic and collaborative relationships both internally and externally.
- Promote Kirk Corporation within the construction industry to engineers, owners, contractors, subcontractors, and vendors.
- Work closely with the executive team to uphold and advance industry-leading business and construction practices.
- Juris Doctor (J.D.) from an accredited law school.
- 5+ years of legal experience, helpful.
- Knowledge of construction law, contract negotiation, and regulatory compliance, helpful.
