- Ensure compliance with Companies Act, Bursa Malaysia Listing Requirements (if applicable), and other statutory obligations.
- Prepare and file statutory documents such as annual returns, resolutions, and changes in directors/share capital with regulatory bodies (e.g., SSM, Bursa Malaysia, SC).
- Advise the board and management on corporate governance best practices.
- Organise and coordinate Board, Board Committee, and General Meetings.
- Prepare agendas, board papers, minutes, and ensure timely distribution to all members.
- Maintain accurate records and minutes of meetings.
- Act as the primary point of contact for directors, shareholders, regulators, and stakeholders on company secretarial matters.
- Coordinate communication with shareholders, including handling dividend distributions and share transfers.
- Maintain statutory registers (directors, shareholders, charges, etc.) and ensure timely submission of documents to SSM.
- Keep records of resolutions, consents, and other company documents.
- Provide legal, administrative, and governance advice to the Board and senior management.
- Keep up to date with regulatory changes and ensure timely dissemination of updates to relevant parties.
- Bachelor’s degree in Law, Business, or related field is preferred.
- Minimum 5–8 years of experience in corporate secretarial practice.
- Experience with listed companies is an added advantage.
- Strong knowledge of Malaysian corporate law and governance practices.
- Excellent organisational and communication skills.
