We are seeking an experienced Transactional / Corporate Paralegal to join a growing legal team in Palm Beach, Florida. This role supports attorneys across a range of corporate, contract, and transactional matters and offers a collaborative environment with long-term growth potential.
Responsibilities
- Draft, review, and revise contracts, agreements, and corporate documents
- Assist with entity formation, maintenance, and dissolution (LLCs, corporations, partnerships)
- Prepare and file corporate governance documents, resolutions, and meeting minutes
- Support mergers, acquisitions, and other corporate transactions
- Maintain corporate records, entity management systems, and compliance calendars
- Coordinate signatures, closings, and post-closing documentation
- Communicate with clients, internal teams, and outside vendors as needed
Qualifications
- 3–5 years of experience as a transactional, corporate, or contracts paralegal
- Prior law firm or in-house corporate legal department experience preferred
- Strong understanding of corporate governance and contract lifecycle management
- Excellent organizational skills and attention to detail
- Ability to manage multiple matters and deadlines in a fast-paced environment
- Proficiency with Microsoft Office; experience with document management systems a plus
Work Environment
- Onsite during onboarding period
