Location: Palm Beach

We are seeking an experienced Transactional / Corporate Paralegal to join a growing legal team in Palm Beach, Florida. This role supports attorneys across a range of corporate, contract, and transactional matters and offers a collaborative environment with long-term growth potential.

Responsibilities

  • Draft, review, and revise contracts, agreements, and corporate documents
  • Assist with entity formation, maintenance, and dissolution (LLCs, corporations, partnerships)
  • Prepare and file corporate governance documents, resolutions, and meeting minutes
  • Support mergers, acquisitions, and other corporate transactions
  • Maintain corporate records, entity management systems, and compliance calendars
  • Coordinate signatures, closings, and post-closing documentation
  • Communicate with clients, internal teams, and outside vendors as needed

Qualifications

  • 3–5 years of experience as a transactional, corporate, or contracts paralegal
  • Prior law firm or in-house corporate legal department experience preferred
  • Strong understanding of corporate governance and contract lifecycle management
  • Excellent organizational skills and attention to detail
  • Ability to manage multiple matters and deadlines in a fast-paced environment
  • Proficiency with Microsoft Office; experience with document management systems a plus
