- Draft, review, and negotiate a wide range of commercial and technology agreements, including software licensing, SaaS and cloud services, supply and manufacturing, distribution and reseller arrangements, API and data licensing, professional services, and data processing agreements.
- Support corporate development activities by conducting legal due diligence, drafting and negotiating acquisition documents, and assisting with post-closing integration.
- Partner with operational leaders to identify, assess, and mitigate legal risks across day-to-day business operations.
- Advise on regulatory compliance matters, including data privacy, trade compliance and sanctions, consumer protection, and other industry-specific regulations.
- Manage pre-litigation disputes, subpoena responses, and settlement negotiations; oversee outside counsel on active litigation, including budget management and review of work product.
- Contribute to corporate compliance programs, policies, and training initiatives across the organization.
- Provide guidance on emerging legal issues involving artificial intelligence, data governance, and technology-driven business models.
- Collaborate with colleagues across the Legal department on corporate governance, intellectual property, labor and employment, and other specialized matters.
- JD from an ABA-accredited law school with strong academic performance.
- Active bar membership in good standing in at least one U.S. jurisdiction.
- Minimum of two years of legal experience, with a strong preference for candidates trained at a multinational or top-tier law firm.
- Experience drafting, reviewing, and negotiating commercial and technology agreements.
