FISYN Management Company is seeking a full-time, highly specialized Fund Accountant (CPA) to manage the accounting, reporting, and tax workflows for our Regulation D Rule 506(c) private equity real estate fund. Because our fund utilizes general solicitation and requires strict accredited investor compliance, you will own the end-to-end financial integrity of multi-tier partnership structures, complex distribution waterfalls, and Texas state tax compliance.
Key Responsibilities- Fund-Level Bookkeeping: Maintain the general ledger for the core fund entity, management company, and GP vehicles, performing monthly bank, brokerage, and subscription line of credit reconciliations.
- Waterfall & Capital Accounts: Calculate and execute distribution waterfalls, precisely tracking investor preferred returns and GP promote/carried interest splits.
- Investor Reporting: Maintain distinct partner capital accounts using the transactional partner capital method to ensure error-free allocation of net income, losses, and distributions.
- Tax Compliance: Prepare Federal Form 1065 partnership returns and manage the distribution of year-end Schedule K-1s.
- Texas State Tax Management: Oversee Texas Franchise Tax requirements, monitoring annualized total revenue against the current $2.65 million no-tax-due threshold and filing required Public Information Reports (PIR). Execute complex margin calculations using the updated federal income tax return alignment rules.
- Exemption Guardrails: Monitor and document accredited investor verification logs alongside the Executive Team to protect the fund's SEC safe harbor.
- Licensure: Active CPA license in good standing (Texas CPA strongly preferred).
- Experience: 3-5 years of direct experience in private equity fund accounting, real estate syndications, or public accounting with a heavy commercial real estate niche.
- Technical Knowledge: Mastery of IRS Subchapter K partnership tax laws and SEC Regulation D structural frameworks.
- Texas Tax Proficiency: In-depth, current knowledge of Texas Comptroller rules, economic nexus, and Texas margin calculation methods.
- Software
Skills:
Advanced proficiency in Microsoft Excel (complex financial modeling) and fund/property accounting software packages. - Attention to Detail: Absolute accuracy in calculating capital calls, hurdles, and asset depreciation schedules.
