Overview

Reporting to the Chief Legal Officer, the Associate Counsel will provide legal support across various areas of K-LOVE’s operations, including contract management, compliance, real and personal property (including real estate, leases), mergers and acquisitions, litigation, intellectual property, privacy, employment, risk management, training, and public relations. This position requires initiative, clear communication, and effective cross-functional collaboration with senior management, outside counsel, and internal parties.

Success will be measured by the ability to navigate complex legal matters, offer strategic insights, and foster strong relationships through servant leadership and cross-functional partnerships within the Ministry.

Responsibilities
  • Contract management:
    Supports Counsel with drafting, reviewing, and negotiating contracts across domains including real estate leases, technology contracts, and marketing agreements.
  • Compliance:
    Supports Counsel with regulatory compliance, advising on industry-specific standards and corporate policies.
  • Mergers and Acquisitions:
    Assists with real and personal property matters, real estate, leases, and M&A processes, due diligence, structuring, and documentation.
  • Intellectual Property:
    Manages, protects, and enforces the Ministry’s IP, including patents, trademarks, and copyrights; supports representation in negotiations with third parties.
  • Media:
    Advises on media, content creation, distribution, and legal compliance; pre-publication reviews, defamation/privacy/IP issues; negotiates and drafts contracts; provides legal education to internal teams; advises on music licensing negotiations and agreements.
  • HR Partnership & Global Employment Practices:
    Provides guidance on global employment practices, policy updates, training, and country expansion; supports onboarding, performance, discipline, and policy interpretation.
  • Risk Management:

    Develops and implements internal policies to mitigate legal and operational risks.
  • Training:
    Designs and delivers legal training to staff to raise awareness and ensure compliance.
  • Public Relations:
    Liaises with internal and external stakeholders to ensure clear and accurate communication.
  • Privacy Program:
    Develops and maintains the Ministry’s privacy program to comply with applicable laws.
  • Collaboration with Outside Counsel:
    Coordinates with external advisors, incorporating their recommendations into practical guidance.
  • Template and Process Development:
    Creates and updates contract templates; improves contracting processes; scales Ministry-wide documentation and knowledge management.
  • Legal Department Process Enhancement:
    Improves processes to enhance efficiency, compliance, and cross-functional collaboration; maintains in-person presence for effective communication.
  • Legal Strategy Support:
    Provides input to define legal strategy for new products, initiatives, and ventures.
  • Regulatory Strategy and Compliance:
    Develops regulatory strategies at federal and state levels and ensures compliance.
  • Subsidiary Management:
    Manages legal matters related to subsidiaries and affiliates during expansion and operations.
  • Cross-Functional Collaboration and In-Office Work:
    Collaborates in-person with cross-functional teams to ensure timely legal counsel and alignment with Ministry goals.
Qualifications
  • Juris Doctorate or equivalent; bar admission within 12 months of hire or as directed by the Chief Legal Officer.
  • One or more years of legal experience in research, drafting, policy review, or legal project work in areas such as corporate law, business transactions, or compliance; familiarity with contract management, real and personal property, IP, employment law, or litigation; knowledge of risk management practices.
  • Experience in complying with federal and state regulations; data privacy laws and security matters a plus.
  • Proven track record in negotiating and drafting contracts (vendor, partnership, sales) aligned with organizational goals.
