Position: Strategic Growth & M&A Leader – Orthodontics

The Head of Corporate Development leads the company's growth through orthodontic practice acquisitions and partnerships. The role demands an unusual balance: an individual who can build and sustain trusted, long-term relationships with orthodontists while also serving as a hands-on deal professional, modeling deal economics in Excel, building executive-ready presentations in PowerPoint, and managing, negotiating, and processing transactions with a solid working knowledge of partnership, joint venture, and M&A structures.

This position is based at BOND's Frisco, TX headquarters and requires regular travel to target practices, partner locations, and industry conferences across BOND's multi-state footprint and target geographies.

The Head of Corporate Development plays a key role in executing the standards, policies, and procedures that support BOND Orthodontic Partners' Mission and Core Values.

Essential Job Functions

• Source and identify potential acquisition and partnership targets, including building and maintaining long-term relationships with orthodontists throughout desired geographies.

• Own and maintain the M&A pipeline and CRM, including regular reporting on pipeline volume, conversion rates, and stage-by-stage status to leadership.

• Build and manage a network of referral sources, including brokers, consultants, and industry contacts, to supplement direct outreach.

• Coordinate a referral program with existing partner doctors to surface leads from within the network.

• Attend industry conferences and trade shows as part of the sourcing strategy.

• Track competitor acquisition activity and market pricing trends within target geographies; partner on geographic market mapping to prioritize outreach targets.

• Lead the development and execution of the M&A strategic planning process in alignment with company-wide mission and goals; evaluate and make recommendations for business development and expansion.

• Build and own detailed financial models, valuations, and returns analyses in Excel, including practice-level P&L normalization, deal-structuring scenarios, and sensitivity analysis, to support target evaluation and pricing.

• Produce polished PowerPoint materials, including target profiles, investment committee and board presentations, and approval decks that clearly communicate deal rationale, economics, and risks to leadership.

• Own the preparation, accuracy, and quality of deal-related, pipeline-related, and board materials; partner with Finance on company-level financial models, projections, and MD&A content.

• Serve as the primary liaison between the private equity sponsor and the management team as it relates to corporate development data, reporting, and presentations, ensuring consistency, accuracy, and timely delivery across both audiences.

• Translate practice financials and operational data into clear, decision-ready analysis and recommendations for executive review.

• Prepare initial target profiles and preliminary financial screening materials to support deal review by leadership.

• Lead negotiation of deal terms, structure, and economics directly with orthodontists and their advisors, balancing relationship preservation with sound commercial outcomes.

• Structure and evaluate partnership and joint venture arrangements, including equity rollover, earn-outs, and physician co-investment models, applying a working knowledge of M&A and partnership/JV legal frameworks.

• Coordinate with Legal and Finance on LOI drafting and initial term sheets, routing final approval to the Chief Executive Officer; partner with internal and outside counsel to draft, review, and negotiate term sheets and definitive purchase and partnership agreements, translating legal terms into practical business implications for leadership.

• Define the due diligence structure and process; coordinate subject matter experts across support functions, ensure key milestones are met, and resolve issues and roadblocks.

• Manage the transaction end-to-end through close, coordinating diligence, financing inputs, legal work streams, and signing and closing logistics to keep deals progressing on schedule.
