Position Summary:
We are seeking a highly organized and detail-oriented Corporate Legal Assistant to support our Corporate Practice Group. The ideal candidate will have experience working in a high-volume legal environment and be comfortable handling complex transactional documentation, entity management, and administrative duties. This is an excellent opportunity to contribute to a dynamic team in a fast-paced, professional setting.
Key Responsibilities:
- Assist attorneys with the preparation, editing, and filing of corporate documents, including formation documents, resolutions, and minutes.
- Maintain and organize corporate records and minute books for client entities.
- Conduct UCC filings, lien searches, and coordinate state and federal filings.
- Manage calendars, coordinate meetings, and track deadlines and deliverables.
- Handle document management, including version control and formatting using document management systems (e.g., iManage, Net Documents).
- Support due diligence processes, including organizing and reviewing contracts and corporate materials.
- Liaise with internal departments, clients, and government agencies as needed.
- Draft engagement letters, correspondence, and maintain client contact information.
- Assist with time entry, billing, and other administrative functions as needed.
Qualifications:
- Minimum of 3–5 years of corporate legal assistant experience in a law firm or in-house legal department.
- Strong understanding of corporate governance, legal terminology, and business entity structures.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint) and legal document management software.
- Exceptional organizational and communication skills.
- Ability to prioritize and manage multiple tasks with high attention to detail.
- Bachelor’s degree or Legal Assistant/Paralegal Certificate preferred.
