Miller Johnson is seeking an associate to join our Corporate, Mergers & Acquisitions Practice Group in our Grand Rapids and Cincinnati offices. This is an excellent opportunity for an early‑career attorney to build a sophisticated debt finance practice while working closely with experienced attorneys on a wide range of financing transactions. Our team advises businesses of all sizes on structuring, negotiating, and closing complex financing arrangements.

Associates in this role will gain hands‑on experience across a variety of deal types while developing strong technical and client‑facing skills.

Responsibilities
  • Assist in representing borrowers, lenders, and investors in a variety of financing transactions.
  • Support the structuring, negotiation, and documentation of debt and capital arrangements.
  • Draft and review loan agreements, security documents, and other transaction materials.
  • Conduct due diligence and assist with transaction closings.
  • Collaborate with attorneys across corporate, real estate, and tax practices on deal execution.
  • Participate in client communications and develop an understanding of business and financing objectives.
  • Support a range of transactions, including commercial lending, real estate financing, private placements, and acquisition financings.
Qualifications
  • J.D. degree.
  • 1–3 years of experience in finance, corporate, or related transactional practice (preferred).
  • Strong academic credentials and demonstrated interest in transactional law.
  • Excellent drafting, analytical, and organizational skills.
  • Ability to manage multiple matters and deadlines in a fast‑paced environment.
  • Strong attention to detail and problem‑solving skills.
  • Effective communication skills and a client‑service mindset.
