The company operates with a lean, highly collaborative culture that combines the intensity and execution focus of New York financial services environments with the creativity, autonomy, and pod-style collaboration commonly found in Bay Area technology companies.
Position OverviewOur client is seeking a senior In-House Counsel, M&A to support strategic growth initiatives, acquisitions, investments, and complex transactional matters across the organization. This role will partner closely with executive leadership and serve as a trusted legal advisor within a fast-paced, AI-native fintech environment.

Key Responsibilities- Support mergers, acquisitions, strategic investments, and complex corporate transactions across multiple business lines
- Assist with technology acquisitions, AI-focused transactions, strategic partnerships, acqui-hires, and venture-style investments
- Draft, review, and negotiate purchase agreements, investment documentation, partnership agreements, and related transaction materials
- Lead and coordinate due diligence efforts, transaction execution, and post-transaction integration support
- Advise executive leadership on transaction structure, legal risk, and strategic business initiatives
- Coordinate with and manage outside counsel as needed
- Support subsidiary structuring, intercompany matters, governance, and broader strategic corporate transactions within a holding-company environment
- Utilize AI-native legal workflows and technology-enabled legal operations to improve efficiency and execution
- Juris Doctor (JD) from an accredited law school
- Active U.S. bar membership in good standing
- 10+ years of experience practicing M&A, corporate transactional, or strategic transactions law
- Significant experience handling private-company acquisitions, strategic investments, and growth-stage corporate transactions
- Experience operating within fast-paced startup, fintech, SaaS, AI, or growth-stage technology environments
- Demonstrated experience utilizing AI-native legal workflows and modern legal technology tools in legal practice
- Strong drafting, negotiation, analytical, and executive communication skills
- Ability to operate independently within a lean, high-performance legal environment
- Prior in-house counsel experience
- Experience supporting venture-backed or emerging growth companies
- Fintech, wealth management, financial services, AI, or technology industry experience
- Experience working directly with executive leadership and strategic business teams
- Contract (3 Months to Start + Extension)
- Remote
- Compensation: $125-$175anHR W2
- Commitment: 40 Hour Work Week, Monday to Friday, Standard Daytime Hours
- Reports directly to the COO & General Counsel
