The role will drive corporate governance, Board effectiveness, and enterprise-wide Secretarial compliance for an NBFC within a conglomerate setup. The role involves ensuring adherence to RBI frameworks, managing Board and Committee processes, and leading interactions with regulators including RBI inspections and supervisory reviews.
Job Responsibilities:
•
Act as a strategic advisor to the Board, Committees, and senior leadership on governance, regulatory developments, and fiduciary responsibilities.
•
Drive high-quality Board and Committee governance, processes and decision-making (Audit, Risk Management Committee, NRC, CSR, IT Strategy, ALCO, and other RBI Committees etc.), including forward planning, agenda curation, detailed notes, and decision tracking.
•
Ensure compliance with the Companies Act 2013, RBI regulations for NBFCs and other applicable laws.
•
Support during RBI supervisory inspections, thematic reviews, and compliance assessments; manage responses and closure of supervisory observations.
•
Oversee regulatory filings and disclosures with ROC, RBI, and other authorities, ensuring accuracy, timeliness, and audit readiness.
•
Ensure adherence to RBI Master Directions for NBFC-ICC, including governance, risk management, outsourcing and IT etc.
•
Partner with Chief Compliance Officer with agility, in designing, implementing, and continuously strengthening enterprise-wide compliance frameworks.
•
Align and leverage entity-level governance with group-level policies and conglomerate oversight requirements, including related party transactions and intra-group exposures.
•
Establish robust compliance monitoring, testing, and reporting mechanisms, including dashboards for Board / Committee oversight.
•
Support statutory audits, internal audits, and enterprise risk management initiatives from a governance and compliance lens
•
Provide secretarial support for strategic initiatives such as capital raising, M&A, restructuring, or new business lines.
•
Act as the central coordination point for regulators, auditors, legal advisors, credit rating agencies, and external stakeholders.
•
Drive digitization, automation, and use of tech solutions to enhance compliance efficiency, traceability, and reporting accuracy.
•
Continuously track RBI Regulatory trends and proactively prepare the organization for upcoming changes.
Key
Skills and Qualifications
Required:
•
Member of Institute of Company Secretaries of India (ICSI) with at least 8 years of relevant post-qualification experience of working in mid to large-sized NBFCs.
•
Deep expertise in RBI regulatory framework, especially for higher layer NBFCs.
•
Strong grasp of corporate governance in large, multi-entity / conglomerate structures, with exposure to Independent Boards and senior leadership.
•
Mandatory experience in RBI-regulated entities with exposure to inspections and supervisory interactions
•
High analytical rigor, attention to detail, and risk foresight
•
Excellent communication, executive presence, and influencing skills
•
Experience in managing complex compliance environments, with value-creation mindset.
•
Ability to manage multiple deliverables with strong coordination, agility and analytical skills.
