Reporting to Bermuda-based Senior Legal Counsel, the Halifax‑based Senior Governance Specialist will be responsible for providing high‑level governance and administrative support to a defined portfolio of Management Committees across the Butterfield Group. The role will act as secretary to assigned committees, ensuring the effective coordination and documentation of meetings, preparation and circulation of agendas and papers, and the timely production of accurate minutes and action‑tracking reports.
The Senior Governance Specialist will liaise closely with committee chairs, presenters and senior executives to ensure governance standards are met and that all decisions and follow‑up actions are properly documented, monitored and executed within defined service levels. The position sits within the Group Legal team and provides guidance and operational support to the Governance Administrator role, ensuring consistency and quality across the Group’s governance processes.
Your responsibilities will include:
Serving as secretary to designated Management Committees across the Butterfield Group, ensuring all governance, documentation and record‑keeping requirements are met.
Coordinating the scheduling of meetings and liaising with committee chairs and stakeholders to develop and approve meeting agendas.
Managing the preparation, compilation and timely distribution of meeting packs and supporting materials to authorised participants.
Liaising with presenters to ensure the submission of materials in accordance with established timelines and content requirements.
Attending committee meetings, taking accurate minutes and preparing and circulating final minutes for approval and signature within defined service standards.
Tracking action items, decisions and deliverables to ensure timely follow‑up and closure, maintaining clear communication with responsible stakeholders.
Supporting the maintenance of governance databases, document management systems and repositories of official records for assigned committees.
Providing oversight and quality assurance of governance materials prepared by the Governance Administrator to ensure consistency with Group standards.
Assisting in the preparation of reports and summaries for senior management and the Board on governance activity, trends, compliance and policy requirements.
Participating in governance process improvement initiatives, contributing to the ongoing development and refinement of Group governance practices.
Supporting ad hoc and periodic governance‑related projects and initiatives as assigned by Senior Legal Counsel.
Your qualifications and skills include:
A bachelor’s degree or equivalent qualification from an accredited institution.
Five or more years’ experience in a corporate administrative, paralegal or corporate administrative role within a regulated environment.
Knowledge of minute preparation, meeting management and corporate governance principle, preferably within a financial services or publicly listed company.
Strong organisational skills, with the ability to prioritise and manage multiple committee cycles and deliverables simultaneously.
Exceptional written and oral communication skills with the ability to interact effectively with senior executives and committee members.
Proven experience handling confidential and sensitive information with discretion, sound judgement and a high degree of professionalism.
Proficiency in Microsoft Office and experience with electronic board or document management systems.
