The Tax Director is responsible for oversight, governance, and strategic direction of all tax matters for a multi-entity LLC with a large and complex investor base and international operations conducted through corporate blocker entities. This role does not prepare tax returns but serves as the internal tax authority, managing external advisors, reviewing all filings, and ensuring alignment between tax outcomes, investor reporting, and business strategy.

Key Responsibilities External Tax Advisor Management
  • Act as the primary liaison with external tax preparers (Big 4 and advisory firms)
  • Define scope, timelines, and deliverables for all tax engagements
  • Review all filings for accuracy and completeness, including:
  • Partnership returns (Form 1065) and K-1 allocations
  • Corporate blocker returns (Form 1120)
  • State and local filings
  • Challenge assumptions, positions, and methodologies used by external advisors
  • Hold advisors accountable for quality, deadlines, and technical accuracy
Partnership Allocations & Oversight
  • Review complex capital account allocations (704(b), tax basis, 704(c))
  • Ensure alignment with partnership agreements, waterfall models, and distribution mechanics
  • Identify and resolve allocation issues prior to K-1 issuance
  • Oversee investor reporting accuracy across a large and complex cap table
Investor Tax Coordination
  • Serve as escalation point for investor tax inquiries (not first-line support)
  • Ensure timely and accurate delivery of K-1s and supporting materials
  • Oversee handling of:
  • UBTI and ECI considerations
  • Foreign investor withholding and reporting
  • State filing requirements for investors
  • Coordinate timing and communication strategy for investor reporting cycles
International Tax & Blocker Oversight
  • Oversee tax implications of international operations through corporate blocker entities
  • Review and challenge cross-border structuring, transfer pricing, and repatriation strategies
  • Ensure appropriate handling of:
  • GILTI, Subpart F, and BEAT exposure
  • Coordinate with international tax advisors and local country specialists
  • Partner with the CFO and leadership on tax implications of investments, acquisitions, entity structures, and financing strategies
  • Evaluate and pressure-test strategies proposed by external advisors
  • Provide a clear internal perspective on tradeoffs between tax efficiency and operational complexity
  • Lead interactions with tax authorities at the federal, state, and international levels
  • Manage external advisors during audits and inquiries
  • Ensure all tax positions are supportable and well documented
  • Maintain oversight of tax risk across the organization
Process Governance & Controls
  • Establish and maintain internal review frameworks, including:
  • Return review checklists
  • K-1 validation processes
  • Data flow between accounting and tax providers
  • Ensure integrity and accuracy of data provided to external preparers
  • Drive improvements in reporting timelines and overall data quality
Qualifications
  • 6–10+ years of tax experience
  • Strong background in:
    Partnership taxation (Subchapter K), Complex investor allocations, Large-scale K-1 environments
  • Experience managing external tax firms (not just working within one)
  • Exposure to international tax and corporate blocker structures
Preferred Background
  • Combination of Big 4 experience and in-house leadership
  • Experience in private equity, infrastructure, or asset-heavy environments
  • Strong technical expertise across partnership and international tax
  • Ability to review, challenge, and validate complex tax positions
  • High attention to detail with strong analytical and problem-solving skills
  • Clear and effective communication with both leadership and external advisors
  • Strong organizational and project management capabilities
  • Ability to operate strategically while maintaining hands-on oversight
