A PE-backed professional and technical services platform is seeking a Chief Financial Officer to lead the company through its next phase of growth and toward a near-term monetization event. The business has achieved significant scale through a disciplined acquisition strategy and operates across multiple service lines and end markets in the infrastructure and critical facilities sectors.
The finance organization is healthy — recently refinanced, clean balance sheet, strong controller, and a well-invested technology stack. The platform is not in need of a turnaround. The mandate is straightforward: sit in the seat, drive financial discipline, and transact.
This is an ideal role for a CFO who thrives in the deal phase, wants meaningful equity participation, and is ready to help maximize enterprise value at exit.

Chief Executive Officer and Board of Directors - Location:
Texas preferred (Houston HQ);
Austin/Dallas considered; in-office presence expected - Compensation:
Market-competitive base; deal bonus; meaningful equity with high multiplier at transaction
- Lead financial preparation for a PE-to-PE transaction within a defined near-term window
- Partner with the CEO, board, and PE sponsor on exit strategy, timing, and buyer positioning
- Drive financial diligence readiness, quality of earnings preparation, and management presentation
- Support add-on acquisition pipeline, including diligence, integration, and synergy modeling
- Own the long-term financial roadmap, capital structure, and banking relationships
- Manage debt facilities, covenant compliance, and lender communications
- Lead budgeting, forecasting, and scenario modeling to inform strategic decisions
- Oversee all accounting functions — GL, AP/AR, payroll, project accounting, revenue recognition
- Ensure GAAP-compliant, audit-ready financial statements
- Maintain strong internal controls and governance across a multi-entity structure
- Develop KPIs, dashboards, and scorecards that drive accountability across business lines
- Partner with operational leaders on margin improvement, cost management, and performance gaps
- Leverage an established ERP and financial technology stack — no build-out required
- Lead a lean, capable finance team (fewer than 15; four direct reports)
- Serve as a financial voice to the board and PE sponsor
- Model integrity, executive presence, and sound judgment
- Prior CFO or senior financial leadership experience in a PE-backed business — required
- Direct experience through a PE monetization or sale transaction — strongly preferred
- Background in professional services, consulting, or technical/engineering services
- Demonstrated ability to manage multi-entity platforms and complex capital structures
- Strong financial modeling, forecasting, and M&A diligence capabilities
- Familiarity with time-and-materials or project-based revenue models
- Experience with leveraged capital structures and active lender relationships
- Infrastructure, energy, or government contracting sector exposure
- Deal-oriented mindset — motivated by equity upside and transaction outcomes
- Executive presence with the credibility to operate at board and PE sponsor level
- Operationally grounded — comfortable in a lean, high-accountability environment
- Texas-based or willing to relocate; able to maintain regular in-office presence
- Bachelor’s degree in Finance, Accounting, Economics, or related field
- MBA, CPA, or equivalent credentials preferred
