The Director, Corporate Development is responsible for leading enterprise level financial analysis and deal execution activities within Devon's Corporate Development function. The role serves as the primary financial resource for upstream M&A and A&D transactions, building and owning the analytical infrastructure that underpins investment decision-making across the deal pipeline. The role will build and lead junior financial talent within Corporate Development and partners closely with the VP of Corporate Development on deal structuring, valuation, and execution from initial screening through close.

The role interfaces with investment banks, financial advisors, and counter parties throughout the full transaction lifecycle on both the buy and sell side and collaborates with Devon's Asset Evaluation, Engineering, and Geoscience teams to integrate technical inputs into financial assessments.

Leads all financial modeling and valuation work across upstream M&A and A&D transactions, including corporate acquisitions, asset-level deals, and select new venture opportunities, directing the development and refinement of best-in-class DCF, NAV, and comparable company/transaction frameworks.

Establishes and governs the team's financial infrastructure transaction comps, trading comps, and standardized model templates setting the standard for analytical consistency and quality across the deal pipeline.

Builds, leads, and develops junior finance professionals within Corporate Development, providing modeling guidance, direct deal exposure, and career development support.

Leads financial due diligence on active transactions, interfacing with internal engineering and geoscience teams, external advisors, and counter party data rooms to synthesize technical, commercial, and financial inputs into investment-ready analysis.

Prepares investment committee and Executive Committee materials, including executive-level presentations and Board-ready analyses summarizing deal rationale, valuation, risk/return profile, and strategic fit; presents findings directly to Devon's senior leadership.

Supports divestiture processes, including preparation of data room materials, financial summaries, and bid evaluation frameworks, working alongside the VP of Corporate Development and external advisors.

Partners with the VP of Corporate Development to evaluate the deal pipeline, triage opportunities, and prioritize analytical resources across active transactions and strategic initiatives.

Develops and maintains market intelligence on E&P transaction activity, public company valuations, commodity price outlooks, and capital markets trends using platforms including Enverus, Bloomberg, and Fact Set; partners with the VP of Corporate Development in engagement with the energy banking and advisory community.

Actively participates in and advises on negotiation and structuring of transactions.

Manages multiple work streams simultaneously, demonstrating the ability to prioritize effectively and deliver rigorous analysis on deal timelines.

Coordinates with counterparts in Asset Evaluation to integrate reserve and resource estimates into financial models and ensure analytical alignment across functions.

Education: Bachelor's Degree in Finance, Economics, Accounting, or related discipline required. MBA preferred.

Experience: +10 years of relevant experience in investment banking (upstream energy coverage) or a combination of banking and corporate M&A/A&D experience. Houston energy banking experience strongly preferred. Prior exposure to domestic upstream transactions is essential; international or new venture transaction experience is a plus.
