Senior Tax Counsel (M&A / Transactional Tax) About the Opportunity

We are representing a Fortune 500 organization that is actively expanding its M&A and Tax Planning capabilities nationwide. This is a high-priority, highly visible initiative within a sophisticated, well-capitalized organization focused on strategic growth and complex transactions.

Position Overview

The company is seeking a Senior Tax Attorney to join its in-house Tax Planning team, with a primary focus on supporting mergers and acquisitions and other strategic transactions.

This role offers the opportunity to work closely with senior leadership, deal teams, and cross‑functional stakeholders on sophisticated domestic and international transactions. The ideal candidate will bring a strong transactional tax background with experience advising on and structuring complex deals.

Key Responsibilities
  • Provide tax support throughout the full lifecycle of transactions, including due diligence, structuring, and financial modeling.
  • Advise on mergers and acquisitions, dispositions, joint ventures, restructurings, and financing transactions.
  • Serve as the U.S. federal income tax lead on assigned projects while identifying and coordinating state and non‑income tax considerations.
  • Partner with legal, finance, and business teams to evaluate tax implications of strategic initiatives.
  • Analyze U.S. and international tax laws to support planning strategies and transaction execution.
  • Collaborate with external advisors, including AmLaw firms and Big Four accounting firms, on complex tax matters.
  • Develop, review, and refine financial models to assess the tax consequences of alternative transaction structures.
  • Draft and review tax provisions within transaction documents.
  • Prepare technical tax memoranda, analyses, and opinion letters.
  • Clearly communicate complex tax concepts to senior leadership and business stakeholders.

Qualifications Required
  • Bachelor's Degree
  • Juris Doctor (JD) from an accredited law school
  • Active membership in good standing with at least one State Bar
  • 3+ years of transactional tax experience with a significant focus on M&A
  • Strong knowledge of Subchapter C (Corporate Tax)
  • Strong knowledge of Consolidated Return Regulations
  • Experience drafting and reviewing transaction documents and tax provisions
  • Proven ability to operate effectively in a fast‑paced, deal‑driven environment
Preferred
  • LL.M. in Taxation
  • Experience with an AmLaw 100 law firm or Big Four M&A tax practice
  • Experience supporting complex multi‑entity or cross‑border transactions
  • Exposure to financial modeling related to tax structuring
  • Background within a capital‑intensive or highly transactional industry
  • Strong analytical and problem‑solving skills
  • Excellent written and verbal communication abilities
  • Ability to manage multiple transactions and deadlines simultaneously
  • Strong collaboration and stakeholder management skills
  • Detail‑oriented with a proactive, solutions‑driven mindset
