The OpportunityThe company is launching its first in-house legal function and is seeking a General Counsel to build, lead, and shape the legal department from the ground up. This is a rare opportunity to join the executive leadership team and serve as a true strategic partner to the business while establishing the legal infrastructure necessary to support continued growth. The right candidate must be prepared to work hard, at times long hours, and roll up their sleeves to support all parts of the organization when the business demands it.

- Minimum of 8+ years of sophisticated transactional experience, with demonstrated ability to independently draft, negotiate, and close a wide range of complex commercial agreements.
- Combination of strong large law firm training and meaningful in-house experience preferred.
- Proven ability to manage a high volume of contracts and legal matters in a fast-paced, growth-oriented environment.
- Entrepreneurial mindset with the confidence and capability to build and lead a legal function from inception.
- Willingness to work across all company verticals — including operations, sales, and business development — to actively support growth and strategic initiatives.
- Exceptional written and verbal communication skills, with the ability to translate legal risk into practical, business-focused guidance for executive leadership.
- Self-directed, proactive, and highly organized, with strong prioritization skills and the ability to operate independently without extensive internal legal infrastructure.
- Demonstrated cultural alignment with a team-oriented, hard-working, humble environment.
- Licensed and in good standing in at least one U.S. jurisdiction;
Texas bar admission or eligibility to register as in-house counsel in Texas preferred.
- Juris Doctor (J.D.) degree from an accredited law school.
- Ability to report to the Houston office five (5) days per week (this is an in-office executive leadership role).
- Ability and willingness to work extended hours as needed to support business demands.
- Strong executive presence with the ability to engage confidently with senior leadership, lenders, customers, vendors, and outside counsel.
- Demonstrated ability to exercise sound judgment under pressure in high-stakes, time-sensitive situations.
- High degree of integrity, discretion, and professionalism.
- Ability to travel occasionally as business needs require.
- Experience in the energy, industrial services, manufacturing, infrastructure, or equipment leasing sectors.
- Familiarity with project-based operations, large equipment transactions, or EPC-related agreements.
- Exposure to project finance, secured lending, or capital markets transactions.
- Experience managing litigation, regulatory compliance, insurance, and risk management functions.
- Prior experience building or scaling a legal department in a growth-stage or private equity-backed company.
