Norton Rose Fulbright is seeking an Associate to join its Projects team. The ideal candidate will have 3 to 6 years of relevant experience and a strong background in domestic and international business transactions and corporate matters, particularly in the energy sector, with location flexibility across any of our US offices.
Candidates should have a strong focus on domestic and international business transactions and corporate matters, particularly in the energy sector. This role offers the opportunity to work on high-profile projects involving renewable energy, energy storage, and power generation technologies. Collaborating across our global team, we act on some of the most innovative, complex and challenging projects in the world. Lawyers would have the opportunity to work on 100% renewable energy and energy transition transactions, if desired, or a broader energy and infrastructure practice.
This role involves handling a range of M&A transactions, including acquisitions, joint ventures, divestitures of projects, portfolios of projects, and entire development platforms. The role may also include project development work if desired. Our projects practice is one of the largest in the world, with over 350 project and project finance lawyers located across our 50+ offices. We represent lenders, sponsors, developers, institutional investors, contractors, operators, and government entities in major domestic and cross-border renewable energy projects and financings.
Recognized annually for our pioneering work in first-in-jurisdiction and first-in-technology renewable energy projects, we are market leaders in developing creative legal solutions to difficult business problems. Our deep understanding of structures, risk profiles, and regulatory regimes is crucial to successfully closing complex and groundbreaking renewable energy transactions globally.
- Advise clients on a variety of energy transactions, including mergers and acquisitions, joint ventures, and project development
- Draft, review, and negotiate complex transaction documents, including purchase agreements, joint venture and joint development agreements, and development services agreements
- Conduct thorough due diligence for projects M&A deals, including reviewing project development documents and conducting legal research
- Collaborate with internal and external stakeholders, including clients and colleagues in various specialty areas such as tax, regulatory, and real estate
- Stay updated on industry trends and changes in project development, M&A, and finance law
- Offer assistance on other legal matters concerning project development and M&A as needed
- Representative experience with clients in the renewable energy market, on matters including project development (including offtake, procurement and construction) and/or project finance specific transactions is helpful
- Law firm mergers & acquisitions or project finance experience, preferably in a sophisticated national law firm environment
This position may be based in any of our US offices (Austin, Chicago, Dallas, Denver, Houston, Los Angeles, Minneapolis, New York, San Antonio, San Francisco, St. Louis, or Washington, DC). Applicants should indicate their office(s) of interest in their application.
The full time base annual salary for this position in the New York City, Denver, Los Angeles, and San Francisco market is expected to range between $260,000- $420,000. This range represents the firm's good faith and reasonable estimate of the range of possible compensation at the time of posting for a position in New York City, Denver, Los Angeles, and San Francisco.
Salaries in other markets will vary depending on market data. Bonus opportunities are non-guaranteed and are dependent upon individual and firm performance.
