The Senior Director - Compliance will be responsible for driving operational excellence, strategic alignment with global headquarters, and building a world-class capability center. This role will oversee governance, and compliance across all corporate functions. This role will ensure regulatory adherence, risk management, and a culture of integrity and transparency while enabling growth and innovation. This person will work closely with the India GCC Managing Director and global executive stakeholders.
Key Responsibilities
Governance, Risk & Compliance (GRC)
Establish governance frameworks to ensure adherence to global standards and local regulations and organizational policies
Establish a risk-based compliance program that includes:
- Risk assessments to identify and address compliance risks.
- Monitor regulatory changes and ensure timely updates to policies and procedures.
- Deliver compliance training and awareness programs to employees.
- Maintain relationships with legal counsel and regulatory bodies.
- Act as liaison to Global Compliance and Privacy functions.
Oversee end-to-end compliance functions, including:
Finance: statutory compliance, tax filings, audits, capital infusion, FEMA/ROC requirements.
Company Law Compliances
- Ensure compliance with the Companies Act, 2013 and related rules.
- Manage board meetings, annual general meetings, and filing of statutory returns.
- Maintain statutory registers (members, directors, charges, etc.) and ensure timely updates.
- Oversee secretarial audits, ROC filings, and liaise with company secretaries for governance matters.
- Track changes in MCA notifications, circulars, and ensure entity-wide implementation.
Procurement: vendor onboarding, due diligence, contract management, anti-bribery & anti-corruption compliance.
Regulatory: compliance with Indian corporate, labor, SEZ/STPI, environmental, and other applicable laws.
Human Resources: compliance with labor laws, employee welfare statutes, DEI reporting, workplace policies.
Information Security: compliance with ISO 27001, SOC2, and global cybersecurity standards.
Data Protection: compliance with India DPDP Act, GDPR, HIPAA, and other global data privacy frameworks.
- Serve as an Internal Committee Member for Prevention of Sexual Harassment (POSH)
Oversee the GCC risk management framework and local audit activities to ensure adequate management of risks and controls.
- Ensure risk policies and practices are comprehensive, appropriate, and aligned with regulatory expectations.
- Conduct local internal audit activities as directed by HIG Audit
- Provide quarterly governance, risk and compliance updates to global Chief Ethics & Compliance Officer, Chief Operational Risk Officer, General Auditor and GCC Board
Stakeholder Management
Serve as a key point of contact for global business and functional leaders, ensuring strong alignment with Hartford priorities.
Qualifications
- 15+ years of progressive leadership experience, with at least 5 years in senior operations/risk/GCC leadership roles.
- Deep understanding of Indian corporate governance, compliance, finance, HR, procurement, and technology operations.
- Strong knowledge of regulatory frameworks including SEZ, STPI, DPDP, GDPR, and global audit standards.
- Background in financial services/insurance/technology industries is highly desirable.
- MBA/CA/CS/Law; international exposure preferred.
