Corporate Counsel

The Antwi Group is seeking an experienced, commercially minded, and detail-oriented Corporate Counsel to join our Legal & Business Affairs Department.

Working under the direction of the Director / Manager of Legal & Business Affairs
, Corporate Counsel will provide day-to-day legal support to The Antwi Group and its businesses, with responsibilities involving commercial contracts, corporate matters, intellectual property, licensing, employment-related matters, technology agreements, media and entertainment transactions, and other business activities requiring legal review.

Corporate Counsel will work closely with company leadership and departments throughout the organization to identify legal risks, develop practical solutions, negotiate agreements, and help ensure significant business activities receive appropriate legal review.

The successful candidate should combine strong legal analysis and drafting abilities with practical business judgment, professional independence, confidentiality, and an understanding of the needs of a growing organization.

• Provide legal advice to The Antwi Group and its businesses within the attorney’s areas of competence and authorization.
• Work under the supervision and direction of the Director / Manager of Legal & Business Affairs.
• Draft, review, revise, and negotiate commercial agreements.
• Review proposed contractual commitments and identify material legal risks.
• Develop practical contract revisions and negotiation strategies.
• Assist with maintaining company contract templates and legal forms.
• Support corporate transactions and strategic business initiatives.
• Conduct legal research and prepare legal analyses when required.
• Support intellectual-property and licensing matters.
• Assist with music, entertainment, media, and creative-industry transactions.
• Review vendor, service-provider, technology, and client agreements.
• Assist with confidentiality and nondisclosure agreements.
• Support Business Development with partnership and commercial agreements.
• Work with Sales & Client Relations regarding customer and client contracts.
• Coordinate with Human Resources regarding employment-related legal matters.
• Support Finance & Accounting regarding contractual payment terms and financial obligations.
• Review marketing, advertising, promotional, and media matters when legal review is appropriate.
• Assist with privacy, data-protection, website, and technology matters within the attorney’s professional competence.
• Help maintain corporate records and legal documentation.
• Support legal due diligence for approved transactions.
• Assist with responding to legal notices, claims, disputes, and regulatory inquiries.
• Coordinate with qualified outside counsel when authorized.
• Maintain organized legal matter and contract records.
• Monitor relevant legal developments affecting assigned areas of company operations.
• Protect confidential and attorney-client privileged information.
• Maintain independent professional judgment when providing legal advice.
