Job Summary
We are seeking an experienced and dynamic Assistant Vice President – Secretarial to lead the corporate secretarial and governance function for the organization. The incumbent will be responsible for ensuring compliance with the Companies Act, SEBI regulations (as applicable), corporate governance requirements, and other statutory obligations across the Group. The role will work closely with the CFO, senior leadership, Board of Directors, investors, lenders, and regulatory authorities to ensure strong governance practices and regulatory compliance.

Key Responsibilities

1. Corporate Secretarial & Governance
Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
Manage Board, Committee, and Shareholder meetings, including preparation of agendas, notices, minutes, and resolutions.
Advise management on corporate governance matters and regulatory developments.
Ensure implementation of governance frameworks and best practices across the organization.

2. Statutory & Regulatory Compliance
Oversee all statutory filings, disclosures, returns, and secretarial compliances.
Ensure timely maintenance of statutory registers, records, and corporate documentation.
Monitor changes in applicable laws and assess their impact on the business.
Coordinate with regulatory authorities and ensure timely compliance with statutory requirements.

3. Group Structure & Corporate Actions
Manage incorporation of companies, restructuring, mergers, acquisitions, liquidation, and other corporate actions.
Support execution of fundraising, debt financing, and investment transactions from a secretarial and governance perspective.
Ensure compliance with shareholder agreements, financing documents, and governance requirements.

4. Board & Investor Management
Act as the key interface between the Board, senior management, investors, lenders, and external advisors.
Facilitate Board evaluations, governance reviews, and implementation of Board directives.
Support due diligence exercises and information requirements for investors, lenders, and strategic partners.

5. Secretarial Audit & Compliance Monitoring
Coordinate secretarial audits, regulatory inspections, and compliance reviews.
Track closure of audit observations and compliance gaps.
Develop compliance dashboards and reporting mechanisms for leadership review.

6. Stakeholder Management
Liaise with legal advisors, auditors, consultants, regulators, and government authorities.
Provide strategic guidance to business functions on governance and compliance-related matters.
Support leadership in managing key regulatory and corporate governance initiatives.

Qualifications
Qualified Company Secretary (CS) from ICSI is mandatory.
LLB, CA, MBA, or additional professional qualifications will be an added advantage.

Experience
15+ years of experience in Corporate Secretarial, Corporate Governance, and Regulatory Compliance.
Experience in listed companies, large corporates, renewable energy, infrastructure, power, manufacturing, or EPC sectors preferred.
Strong knowledge of the Companies Act, corporate governance practices, and regulatory frameworks.
Experience in fundraising, M&A transactions, Board management, and investor interactions will be preferred.
