Role Overview
:

The Deputy General Counsel serves as a senior legal advisor within the IEDC, providing strategic legal counsel and support agency wide. Under the direction of the General Counsel, The Deputy General Counsel helps ensure the agency’s operations comply with federal and Indiana state laws and regulations, supports the development and implementation of agency policies, and manages high-level legal matters, including contracts, administrative law, and regulatory compliance, with primary focus on contract management, ethics, board governance, open door, and public access.


Salary Statement
:

The salary range for this position is $107,000 - $115,000 annually.

A Day in the Life:
  • Provides counsel on all aspects of the IEDC’s operations, including ethics, board governance, open door, and public access.
  • Assists the General Counsel with ethics and board governance matters, legislative modifications, management of outside counsel, development of policies and procedures for legal compliance, personnel/employment legal matters, and management of the Legal Department budget.
  • Negotiates, drafts, and reviews contracts.
  • Responsible for the management of contract management process, ensuring that contracts are effectively managed throughout the contract life cycle.
  • Develops and maintains the IEDC’s standard contract and other legal templates.
  • Negotiates Non-Disclosure Agreements and issues Letters of Confidentiality to prospects.
  • Responsible for IEDC/IEDF Board and committee minutes, public notices, and agenda and serves as a committee secretary.
  • Manages responses to public access requests.
  • Manages Legal Department staff and serve as the General Counsel in the absence of the General Counsel.
  • Participates in the Venture Capital Investment Tax Credit committee and other IEDC committees, as needed.
  • Monitors and interprets changes in Indiana statutes, administrative rules, and federal regulations relevant to agency operations.
  • Evaluates and recommends changes in existing methods to improve Legal Department operations.
  • Handles a variety of legal issues across the IEDC and provides general legal support to the General Counsel.
  • Serves as Acting General Counsel as needed.
  • Trains agency staff on legal topics including ethics, public records, open door laws, procurement, and employment law.
What You'll Need for Success:

Education:

  • Juris Doctorate degree from an accredited law school required.

Experience:

  • Active license to practice law in the State of Indiana and in good standing with the Indiana Supreme Court.
  • A minimum of 4-5 years of progressively responsible legal experience, preferably including public sector or regulatory experience.
  • Knowledge of Indiana state laws, administrative law, and government ethics regulations.
  • Significant experience negotiating and managing contracts on behalf of the State of Indiana strongly preferred.
  • Prior experience working in or on behalf of state government strongly preferred.
