Job Overview

A law firm seeks a team-oriented Corporate and Finance Associate to join their practice groups in Cleveland, OH or Indianapolis, IN. This role focuses on middle-market lending, ESOP, and transactional work, offering the opportunity to collaborate with partners and clients on sophisticated transactions across various industries.

• Handle substantive corporate and transactional matters, including entity formation and governance.
• Manage commercial financing, such as working capital lines of credit, term loan facilities, and asset-based lending.
• Draft term sheets and transaction documents, including purchase agreements and loan agreements.
• Conduct due diligence reviews and prepare due diligence reports.
• Collaborate on complex business transactions and manage deal execution.

• 2-5 years of experience in corporate and transactional matters.
• Strong drafting and negotiation skills.
• Sound business judgment and ability to work in a fast-paced environment.
• ESOP transaction experience preferred but not required.

Juris Doctor (JD) degree required.

Bar admission in the state of practice.
