Position OverviewWe are seeking a hands-on, strategic Corporate Paralegal to support the leadership team as we grow. The Corporate Paralegal partners with the General Counsel and CEO to manage the company’s corporate governance, legal operations, and executive-office functions. A portion of this position will also include executive assistant responsibilities.
This position combines advanced corporate-paralegal expertise with strategic administrative support for senior leadership. The ideal candidate has strong command of corporate governance and securities compliance processes, outstanding organizational judgment, and the ability to manage complex, confidential matters under minimal supervision. This role is responsible for corporate recordkeeping, board and committee administration, equity/cap table support, contract lifecycle administration, and legal-tech operations. The ideal candidate brings at least five (5) years of relevant experience — including time at a law firm — and demonstrated familiarity with modern legal systems and workflows.
Key Responsibilities Corporate & Legal Operations- Maintain corporate minute books, organizational charts, and minute/resolution templates.
- Prepare board and committee packages, support logistics for board meetings, and draft minutes and corporate resolutions.
- Support equity administration and cap table maintenance: coordinate grant paperwork, process equity issuances, and liaise with Finance and outside advisors.
- Administer contract lifecycle processes: intake triage, maintain contract database, run signature workflows, and help with template updates.
- Manage compliance deadlines and corporate filing requirements.
- Coordinate with outside counsel and internal stakeholders on legal matters and projects.
- Conduct legal research, draft memos, compile executive briefings, and prepare materials for board or senior‑leadership review.
- Oversee task and project tracking for legal matters within OnIt and Click Up (or equivalent), ensuring SLAs and follow‑ups.
- Partner with the CEO on strategic scheduling, meeting design, and follow‑through on executive priorities.
- Prepare confidential communications, presentations, and materials for leadership, board, and investor interactions.
- Coordinate cross‑functional projects and initiatives requiring executive oversight.
- Plan and execute leadership meetings, off‑sites, and reviews; ensure alignment on objectives and deliverables.
- Anticipate needs, resolve competing priorities, and exercise judgment in allocating executive time and resources.
- 5+ years of corporate paralegal/legal operations experience, including experience at a law firm.
- Prior interaction with boards, investors, and senior executives.
- Paralegal certificate or equivalent; bachelor’s degree in related field preferred.
- Demonstrated experience with corporate governance, board materials, minutes, and corporate filings.
- Hands‑on experience and proficiency with various project/contract management and other administrative systems including Carta, Docu Sign, Onit, Clickup, Jira or comparables
- Exceptional written and verbal communication skills; strong judgment and ability to handle confidential information.
- Highly organized, self‑directed, and able to manage multiple priorities in a fast‑moving environment.
- Ability to work on‑site in Irvine, CA.
