Duties- Advise clients on business formation, restructuring, and dissolution.
- Draft, review, and negotiate core corporate documents.
- Handle mergers, acquisitions, divestitures, and sales of business assets.
- Counsel boards of directors and executives on governance responsibilities.
- Guide clients through ownership transitions and capital restructuring.
- Provide strategic legal advice on franchising decisions.
- Collaborate with clients and internal teams for timely execution of transactions.
- Minimum of five years of experience in business transactions, corporate law, or M&A.
- Proven ability to draft precise, reliable transactional documents.
- Strong organizational skills to manage multiple deals and deadlines.
- Excellent communication skills to advise and persuade diverse stakeholders.
- Juris Doctor (JD) from an accredited law school.
- Active membership in the Florida Bar.
- Experience with mid-market mergers and acquisitions.
- Familiarity with multistate or cross-border transactions.
- Background in advising privately held or family-owned businesses on governance issues.
