- Draft, review, and edit a wide range of agreements, including NDAs, operating agreements, leases, articles of organization, buy-sell agreements, membership interest purchase agreements, SAFE agreements, transfer agreements, and other various business-related agreements.
- Manage and file applicable business licenses and other relevant corporate documents with secretary of state.
- Maintain compliance with Worcester Investment’s contracting lifecycle process, policies, and applicable federal, state, and local laws and regulations.
- Provide legal advice and counsel relating to corporate governance, real estate, and general business transactions.
- Conduct legal research using various legal databases and resources to support attorney strategies.
- Coordinate and collaborate with outside counsel as needed for disputes, claims and litigation as well as specialized legal issues.
- Coordinate process and closing of real estate transactions, including acquisitions, dispositions and financings, debt and equity transactions including signature page packages, document delivery, monitor closing checklists, handle recording requirements at closing
- Handle administrative tasks such as scheduling meetings, managing calendars, and organizing files and documents within the legal department.
- Maintain excellent customer service relationships by adhering to the Worcester Purpose and Core Values.
- Maintain a professional, courteous manner with all residents, vendors, contractors, and fellow team members.
- Flexible and capable of prioritizing tasks when working in a busy and changing environment.
- Perform various administrative tasks as needed or as directed by management and any additional responsibilities as required.
- This job has no supervisory responsibilities.
- Bachelor’s degree or equivalent experience required.
- Paralegal Certification preferred but not required (would consider excellent legal assistant in lieu of paralegal certificate).
- Real Estate experience preferred but not required.
- Strong research, writing, and analytical skills.
- Excellent organizational and time management skills.
- Proficiency in legal research databases and software.
- Attention to detail and accuracy.
- Ability to work independently and as part of a team.
- Flexible and capable of prioritizing tasks when working in a busy and changing environment.
- Travel may be required as necessary to attend training and other company functions.
