Bodker, Ramsey, Andrews, Winograd & Wildstein, P.C. is seeking an experienced Corporate Attorney — or a small group of 2–3 corporate attorneys — for a full-time lateral hire opportunity within our growing corporate practice. We offer a platform well‑suited for attorneys with a portable book of business who value autonomy, direct client engagement, and a collaborative environment supported by a full‑service firm.

Whether joining individually or as a small group, candidates will integrate into a practice focused on sophisticated transactional work, middle‑market business representation, and long‑term client relationships.

Key Responsibilities
  • Advise clients on corporate formation, entity selection, structural planning, and reorganizations
  • Lead and support corporate governance matters, including board advisory, compliance frameworks, and operational oversight
  • Manage and execute Mergers & Acquisitions transactions, including due diligence, drafting, negotiation, and closing
  • Provide strategic counsel on joint ventures, capital structure planning, and complex corporate transactions
  • Maintain and expand an existing portable book of business
  • Collaborate with attorneys across real estate, tax, litigation, and regulatory practices to deliver comprehensive client service
  • For small‑group candidates: integrate existing team workflows and client relationships into the firm’s platform with support for continued group cohesion and growth
Qualifications
  • J.D. from an accredited law school; active Georgia Bar membership
  • Minimum 7–10+ years of corporate transactional experience
  • Demonstrated expertise in corporate formation, governance, and M&A
  • Strong drafting, negotiation, analytical, and client‑management skills
  • Strong interpersonal and communication skills, with the ability to work effectively in a team-oriented environment.
  • Established portable book of business appropriate for lateral integration
  • Ability to work independently and collaboratively within a growing practice
  • For small‑group candidates: demonstrated history of effective team‑based client service
