Key ResponsibilitiesOur client, a large UAE Government owned entity with operations in Saudi Arabia, is looking to recruit a Commercial Manager. The incumbent reports to the CEO and will support the CEO to effectively manage various works in contractual/commercial nature including but not limited to the following:
- Review and analyse rights, obligations, risks and merits under various project agreements including water and energy conversion agreements, EPC contracts, O&M agreements, shareholders agreements, and provide the management with an opinion about recommended actions to maximise benefits and minimise risk of the Company.
- Draft, negotiate and finalize various new contracts, agreements or letters required to execute day‑to‑day business of the Company or the project.
- Proactively liaise with internal parties (CFO, Construction Director, HR Manager, etc.) and external parties such as lawyers, technical advisors, financial advisors to obtain proper inputs and conduct proper contract management.
- Ensure that contracts and subcontracts entered into by the project company are in line with its policies and procedures.
- Ensure effective handover from pre‑contract to post‑contract phase of projects and that processes are in place to ensure the effective administration of contracts.
- Review and support project company monthly risk/management reviews.
- Claims and disputes resolution.
- Work independently on broad assignments according to general directives, policies, company objective, and programmes.
- Refer to the CEO on major issues; work accomplishments are subject to general review by management.
Lead monitoring and ensuring contractual and statutory compliance of the company, including the acquisition of any permits or licenses working with PR officer, and provide a regular update to management of the company. Analyse changes in law and potential impacts arising thereof.
Coordination with StakeholdersManage Shareholders/Board related works including board paper review, preparation and drafting of board resolutions and minutes.
Qualifications- A Bachelor Degree in Law, Quantity Surveying, Finance or extensive relevant experience.
- Five to ten years’ experience dealing with contract related issues, preferable in power generation field.
- Basic knowledge of standard IPP project documents or any other BOO/BOT base project documents, enabling a comprehensive review and commentary of project agreements.
- Certification in Contracting Management (e.g. CPCM, CFCM, IACCM) would be advantageous.
- Proven experience managing, reviewing, revising and negotiating commercial and supplier contracts, strategic alliances and other business transactions.
- Good judgment in balancing business and commercial needs and potential risks/exposures with customer requirements.
