Required Qualifications
- J.D. from an accredited law school and active bar membership in good standing
- 4+ years of experience in healthcare law and/or corporate/commercial contracting (in-house or law firm)
- Proven ability to independently draft and negotiate complex contracts end-to-end
- Strong understanding of core commercial contract terms, including indemnification, limitation of liability, termination, regulatory representations, and data use
- Excellent communication skills and the ability to translate legal concepts into practical guidance for non-legal stakeholders
- Direct experience with payer/provider contracting
- Familiarity with MSO and PC-MSO structures
- Meaningful experience drafting and negotiating HIPAA/BAA agreements
- Background supporting multi-state healthcare providers or regulated services platforms
Key Responsibilities
- Draft, review, negotiate, and manage a wide range of commercial agreements, with particular emphasis on:
- Healthcare provider and payer-related agreements
- MSO and PC-MSO structured relationships, including management services agreements and supporting schedules/SOWs
- HIPAA-regulated contracts, including Business Associate Agreements (BAAs)
- Partner closely with operations, provider relations, compliance, finance, and leadership to structure business-forward, compliant deals
- Provide clear, practical guidance on contract interpretation, risk allocation, obligations, and dispute avoidance
- Advise on healthcare regulatory considerations tied to contracting, including HIPAA, Stark/AKS, Medicare/Medicaid, and applicable state rules
- Support the development and refinement of contract templates, playbooks, and scalable contracting workflows
