Senior Counsel
Overview- Provide comprehensive, end-to-end, strategic support to Mastercard’s Global Commercial and New Payment Flows business, focusing on the commercialization of new products and services for the healthcare industry.
- Help build and commercialize products and services that reduce complexity, cut costs, and automate processes in the B2B and travel payments ecosystems, while growing market share in Corporate, Small Business, and Travel & Entertainment cards.
- Build relationships within the merchant community to expand acceptance, drive revenue, and support co‑brand, commercial, and public sector customers as well as acquirers and processors.
The Scope of Work includes contract drafting and negotiation; product development; regulatory, privacy, and compliance assessments; risk analysis; and support of the development and distribution of Commercial and New Payment Flow offerings for the healthcare vertical, including drafting and negotiating contracts and assessing privacy and legal risk related to B2B payment automation.
Key Responsibilities- Act as a day‑to‑day advisor for sales clients, partnering with business and legal specialists to expand Mastercard acceptance and secure Mastercard’s share with merchants, acquirers, prepaid program managers, issuers, and digital partners.
- Advise on a wide range of commercial and contractual matters, including risk assessment and analysis of new product constructs and commercial agreements.
- Collaborate with internal subject‑matter experts to advise holistically on products and relevant regulatory, compliance, privacy, and antitrust issues.
- Support the Commercial and New Payment Flows business development teams on product sales initiatives.
- Autonomously structure, draft, review, and negotiate complex customer agreements, identifying legal and business risks and recommending solutions.
- Engage on strategic relationship and partnership agreements with digital partners.
- Train and educate clients on processes, risks, changes in laws and regulations, and the regulatory landscape of different regions.
- Partner with regional compliance leads to ensure products and services comply with corporate policies, including gifts and hospitality, anti‑bribery and anti‑corruption, and third‑party onboarding.
- Identify process improvements and efficiencies; own and execute solutions to support transformation strategy and streamline processes to increase ease of doing business.
- Qualified lawyer with at least 7 years of experience, licensed to practice in the relevant jurisdiction.
- 3+ years in the pharmaceutical, biotech, or healthcare industry, or at a law firm supporting those industries, including experience in privacy law, commercial/medical‑related matters, and health regulatory compliance.
- Experience reviewing and advising on external‑facing marketing, user content, and user experiences.
- Independent and collaborative work style, able to spot issues, prioritize, and multi‑task in a fast‑paced sales environment.
- Strong business insight, communication skills, and ability to interact confidently with internal clients, customers, and senior management.
- Complex transactional legal experience at a reputable law firm or in‑house counsel.
- Strong drafting and negotiating skills with the ability to simplify complex concepts and deal structures.
- Team‑player mindset, willing to take on responsibilities that support the team, department, region, and company.
- JD or equivalent from an accredited U.S. law school.
- Abide by Mastercard’s security policies and practices.
- Ensure confidentiality and integrity of accessed information.
- Report any suspected information security violation or breach.
- Complete all periodic mandatory security trainings per Mastercard’s guidelines.
In line with Mastercard’s total compensation philosophy, the successful candidate will receive a competitive base salary and may be eligible for an annual bonus or commissions. The base salary varies by location, knowledge, skills, and experience.
