Position SummaryAmerican Bird Conservancy (ABC) is a fast‑growing nonprofit dedicated to protecting birds and their habitats across the Americas. With a $35 million budget, about 40 % of which comes from federal and state government grants, ABC relies on subcontracting and subawarding of federal funds. The Contract and Compliance Specialist will serve as an internal resource to Conservation Programs, Development, and Finance teams, creating, managing, and tracking contracts, subcontracts, subawards, and procurement processes.
The Specialist ensures all agreements align with legal, organizational, and donor requirements, strengthens internal systems, and promotes smooth workflow.
- Serve as a primary resource to staff throughout the contract/subcontract/subaward lifecycle—including drafting, review, execution, modifications, tracking, and closeout.
- Assist staff in selecting appropriate templates and draft new ones with ABC’s General Counsel when needed.
- Review priority and complex contracts, subcontracts, subawards, MOUs, NDAs, and related agreements to ensure compliance with ABC policies and federal, state, and donor requirements.
- Review funder agreements to identify flow‑down provisions and ensure their incorporation into downstream agreements.
- Occasionally interact directly with institutional funders to resolve contracting matters, in collaboration with Development.
- Assist staff in assessing risk factors.
- Maintain organized, auditable files and work with ABC’s database specialists to ensure accurate tracking of key dates, deliverables, compliance requirements, and payment schedules in the centralized finance and grant management system.
- Serve as a resource to Project Managers during procurement processes for goods and services, providing guidance on bids, purchase documentation, vendor selection requirements, and subaward issuance.
- Provide visibility for staff into the contracting process, keep everyone on task, and advance necessary contracting steps.
- Support purchasing compliance by providing staff training and reinforcing internal policies and documentation standards.
- Maintain working knowledge of federal regulations (including Uniform Guidance), state requirements, and public and private donor policies affecting subcontracts and subawards.
- Update and maintain subcontract and subaward templates in consultation with legal counsel to reflect regulatory or policy changes.
- Participate in relevant external trainings to stay current on regulatory knowledge.
- Support audit readiness by ensuring documentation standards are consistently applied.
- Perform related duties and special projects as assigned.
- Act as a liaison between Conservation Programs, Development, Finance, and external stakeholders to streamline workflow and improve effectiveness.
- Collaborate with Development and Finance to align contracts/subcontracts/subawards with approved budgets and payment structures.
- Provide training, guidance, and written materials to staff regarding contract, subaward, and procurement processes and best practices.
- Identify bottlenecks or inconsistencies in contracting and procurement processes and recommend improvements to strengthen transparency, efficiency, and compliance.
- Work with the VP of Operations and ABC’s General Counsel on any necessary contract reviews or revisions.
