This position plays a critical role in maintaining strong governance practices, ensuring regulatory readiness, and supporting executive leadership with precision, discretion, and professionalism.
What You'll Be Responsible For
- Coordinate all aspects of Board of Directors and committee meetings, including calendars, logistics, agendas, materials, resolutions, and minutes
- Prepare and manage board books and executive-level presentations using secure board portals
- Draft and maintain corporate resolutions, unanimous written consents, secretary certificates, and corporate records
- Serve as a key liaison between executive leadership, board members, and outside counsel
- Manage domestic and subsidiary entity compliance, including formations, amendments, dissolutions, annual filings, and organizational charts
- Maintain corporate minute books, entity databases, FEIN documentation, and regulatory registrations
- Coordinate licensing requirements and track ongoing compliance obligations
- Assist with regulatory exams, audits, and reviews by organizing documentation, tracking requests, and managing data rooms
- Support responses to regulatory inquiries and examination findings
- Partner with internal stakeholders across compliance, risk, finance, and operations
- Maintain and update corporate policies, procedures, and governance documentation
- Support internal reporting, presentations, and executive communications
- Handle sensitive information with the highest level of confidentiality and discretion
- Bachelor's degree
- Paralegal Certificate (ABA preferred)
- 5+ years of corporate paralegal experience within banking, trust companies, financial services, or regulated environments
- Strong background in board governance, entity management, and regulatory coordination
- Exceptional organizational skills with the ability to manage complex calendars and competing deadlines
- Advanced proficiency in Microsoft Office (especially PowerPoint and Excel) and board management platforms
- Experience supporting regulatory exams, audits, or rating agency reviews
- Familiarity with banking, trust administration, or financial services compliance frameworks
- Notary Public (California) a plus
- Experience working closely with C-suite executives and Boards
