Banking Associate Attorney (Leveraged Finance)
Direct Counsel is seeking a Banking Associate Attorney to join a leading Am Law firm's nationally recognized Corporate & Finance practice. This opportunity is ideal for a mid-to-senior level associate with significant experience in leveraged finance and commercial lending transactions. The successful candidate will join a premier national finance team representing lenders, private equity sponsors, and public and private company borrowers in sophisticated domestic and cross-border financing matters.
This role offers exposure to a broad range of high-value financing transactions while working alongside nationally recognized finance attorneys in a collaborative, fast-paced environment.
Responsibilities- Represent lenders, private equity sponsors, and public and private company borrowers in complex financing transactions.
- Structure, draft, review, and negotiate credit agreements, loan documents, security agreements, and related financing documents.
- Advise clients on leveraged finance transactions, acquisition financings, and asset-based lending facilities.
- Handle syndicated credit facilities, including Term Loan A (TLA) and Term Loan B (TLB) transactions.
- Represent clients in private credit transactions, note purchase agreements, and sovereign debt financings.
- Advise clients on Uniform Commercial Code (UCC) matters and secured lending issues.
- Manage financing transactions from initial structuring through closing.
- Coordinate with clients, opposing counsel, financial institutions, and internal deal teams to ensure efficient execution of transactions.
- Collaborate with attorneys across multiple offices on sophisticated domestic and cross-border financing matters.
- J.D. from an ABA-accredited law school with strong academic credentials.
- Active bar admission in the jurisdiction where the attorney will practice.
- At least 3 years of experience handling leveraged finance, commercial lending, or other sophisticated banking transactions.
- Significant experience with bank financing transactions and related UCC matters.
- Experience representing lenders, borrowers, or private equity sponsors in complex financing transactions.
- Strong drafting, negotiation, analytical, and problem-solving skills.
- Excellent organizational and project management abilities.
- Outstanding written, verbal, and interpersonal communication skills.
- Ability to manage multiple transactions simultaneously in a fast-paced practice.
- Collaborative mindset with a commitment to exceptional client service.
- Competitive base salary of $260,000–$365,000, depending on experience and qualifications.
