About the Opportunity
An established investment management firm is seeking a Vice President, Tax Counsel to join its growing legal and tax team. This individual will partner closely with investment professionals, finance, legal, compliance, and outside advisors on a wide range of tax matters related to the firm's investment platforms, fund structures, and strategic transactions.
This role offers significant exposure to sophisticated investment strategies and complex transactions across private funds, structured credit, securitizations, tax-advantaged investments, and corporate entities. The position provides an opportunity to work directly with senior business leaders while helping drive tax-efficient structuring solutions across the platform.
Key Responsibilities- Advise on U.S. federal, state, and local tax matters related to investment funds, portfolio investments, and corporate entities.
- Support the structuring, formation, and ongoing operation of private investment funds and related vehicles.
- Provide tax analysis and guidance for acquisitions, dispositions, recapitalizations, financings, and other strategic transactions.
- Assist with tax planning related to structured credit, securitization transactions, and tax-efficient financing structures.
- Analyze and advise on tax implications associated with tax credit investments and other specialized investment products.
- Collaborate with investment teams on transaction execution and evaluate tax considerations throughout the investment lifecycle.
- Review transaction documentation and provide practical tax guidance to internal stakeholders.
- Work closely with outside counsel, auditors, and tax advisors on complex tax matters and regulatory developments.
- Monitor changes in tax laws, regulations, and market developments that may impact the firm's investment strategies.
- Support the development and implementation of tax policies, procedures, and best practices across the organization.
- J.D. and active bar membership in at least one U.S. jurisdiction.
- Approximately 3-5+ years of experience gained at a leading law firm and/or Big 4 accounting firm.
- Strong background in tax structuring, corporate taxation, and transactional tax matters.
- Experience advising on one or more of the following:
Private fund formations and fund structuring, structured credit transactions, securitizations, tax credit investments, asset-backed financing structures, or alternative investment products - Familiarity with partnership taxation, corporate taxation, and investment fund structures.
- Excellent analytical, drafting, and problem-solving skills.
- Ability to communicate complex tax concepts to non-tax professionals in a practical business-oriented manner.
- Strong project management skills and ability to manage multiple competing priorities in a fast-paced environment.
