Senior Commercial Counsel - USDS

Responsibilities

The Legal and Compliance team provides key support for all Tik Tok USDS Joint Venture's innovative initiatives, state-of-the-art products, and integrated platforms. We help our technology, business, and functional teams enable their vision by providing seamless, integrated legal and compliance guidance and support. We are seeking a capable, business-savvy Senior Commercial Counsel to join our team. This isn't just about reviewing contracts—it’s about strategic partnership.

You will deeply understand Tik Tok USDS Joint Venture's strategic goals and act as a true business enabler.

• Lead the strategic legal negotiation and drafting of a broad range of commercial agreements with a strong focus on technology agreements (SaaS, licensing, professional services).
• Streamline operational efficiency by designing legal templates, playbooks, and cross-functional training programs, etc.
• Identify and assess legal risks associated with commercial agreements and provide practical, actionable guidance on risk mitigation, internal policies, and compliance.
• Forge strong, collaborative partnerships within legal and work cross functionally to ensure lockstep alignment with company objectives, internal policies, and regulatory mandates.

Minimum Qualifications

• J.D. degree from an ABA-accredited law school and active membership in good standing with a U.S. state bar.
• 8+ years of experience in commercial transactions, with experience in the technology sector.
• Strong experience reviewing, drafting, and negotiating a wide range of complex commercial agreements.
• Exceptional written, verbal, and interpersonal communication skills, with a demonstrated ability to influence and collaborate across different teams.
• High level of integrity, professional judgment, acute attention to detail, and a deeply solution-oriented mindset.
• Highly developed relationship-building skills, with a history of serving as a trusted advisor to strategic business partners (e.g. finance, procurement, trust & safety, product & engineering, security).
• Excellent organizational skills with a proven ability to independently prioritize, multi-task, and manage competing priorities in a fast-paced environment.

Preferred Qualifications

• Proven track record within an in-house corporate legal department, specializing in technology transactions.
• Strong focus on corporate compliance, risk mitigation, and ensuring all contractual commitments are honored.
• Experience with negotiating technology transactions in the adtech space.
• A proactive, self-motivated approach to problem-solving, with the adaptability to thrive both independently and as part of a collaborative team.
