The Role

The Corporate Counsel role will be responsible for providing comprehensive legal support to CAA's business groups, with a primary focus on M&A, JVs and minority investments, real estate, treasury, intellectual property and general corporate matters. The Corporate Counsel must have broad corporate and transactional experience with an entrepreneurial mindset and the ability to work collaboratively across various corporate groups, including Finance & Accounting, Tax, Treasury, Global Facilities and IT.

The Corporate Counsel role will report to the Deputy General Counsel or Senior Corporate Counsel, as directed.

Responsibilities

* Provide support for domestic and international corporate transactions, including purchase agreements, LOIs/term sheets and associated deal documentation

* Provide support for real estate transactions, including working with members of the facilities team on deal structure and LOI terms, drafting and negotiating lease agreements, and actively managing the legal process relating to real estate matters

* Supporting various corporate groups  (e.g., Finance and Accounting, Tax, Treasury, etc.) on corporate, regulatory and other intercompany transactional matters

* Interact with global legal and business colleagues on multi-jurisdictional transactions and initiatives

* Manage outside counsel and maintain primary legal lead on various matters for internal business teams

* Provide ongoing support for general corporate matters, including commercial contracts, licensing, investment portfolio management and corporate entity administration

* Work on multiple transactions concurrently

Qualifications

* Juris Doctor degree and admitted to practice in at least one US jurisdiction (CA preferred) with 4+ years of relevant experience with a top tier law firm or a sophisticated in-house legal department (experience with the media, entertainment and/or technology industries preferred)

* Ability to multi-task and work quickly and collaboratively under tight deadlines

* Willingness to roll up sleeves (no job too big, no job too small)

* Sound business judgment and demonstrated experience providing practical legal advice

* Ability to handle sensitive and confidential information and problem-solve in a professional, creative and ethical manner

* Highly responsive and service-oriented attitude

* Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environment

* Overall broad legal experience in corporate law (including legal drafting and deal negotiation from start to finish)

* Excellent written and verbal communication skills, strong analytical skills and attention to detail

* Ability to clearly present ideas and summarize complex issues, both in writing and verbally to senior executives

Location

This position will be based in our LA office with a minimum of 3 days a week in the office.

Compensation

The annual base salary for this position is in the range of $168,000 - $260,000 in Los Angeles, CA. This position is also eligible for benefits and a discretionary bonus. Ultimately, the salary may vary based upon, but not limited to, relevant experience, time in the role, business sector, and geographic location, among other criteria.
