- Manage and prioritize a diverse corporate transactional caseload, ensuring all matters are handled efficiently, accurately, and in a timely manner while meeting client expectations and firm standards.
- Serve as a trusted advisor to clients on a wide range of corporate and business matters, including commercial transactions, contract negotiation, mergers and acquisitions, tax-related considerations, business formations, governance, and ongoing operational issues.
- Draft, review, and negotiate complex commercial agreements, including purchase agreements, operating agreements, shareholder agreements, leases, and other transactional documents tailored to each client’s business objectives.
- Handle asset purchases and sales, due diligence, and related transactional documentation, coordinating with internal and external stakeholders as needed.
- Advise clients on commercial real estate transactions, including acquisitions, dispositions, leasing, and financing arrangements.
- Conduct legal research and analysis to develop well-reasoned legal opinions, memoranda, and strategic recommendations on corporate and business law matters.
- Provide practical, business-minded guidance that balances legal risk with clients’ operational and growth goals.
- Collaborate with partners, associates, and support staff to deliver high-quality legal services and maintain strong client relationships.
- Stay current on changes in corporate, business, and related laws and regulations, proactively advising clients on legal developments that may impact their businesses.
- Participate in business development efforts and contribute to the firm’s continued growth and reputation for excellence, as appropriate.
- Juris Doctor (JD) from an accredited law school and active license to practice law in the Commonwealth of Kentucky.
- Minimum of 5 years of experience practicing corporate and business law, with demonstrated experience handling complex transactional matters.
- Strong background in drafting, reviewing, and negotiating sophisticated commercial contracts and corporate documents.
- Excellent legal research, analytical, writing, and verbal communication skills, with the ability to clearly explain complex legal issues to clients.
- Client-focused mindset with the ability to build trust and maintain long-term client relationships.
- Proven ability to manage multiple matters simultaneously, prioritize effectively, and meet deadlines in a fast-paced environment.
- Strong attention to detail, sound judgment, and a high level of professionalism and integrity.
- Ability to work independently while also collaborating effectively with partners, attorneys, and firm staff.
- Solid work ethic and commitment to delivering high-quality legal work.
