This is a full-time on-site position located in Manama for a Corporate Secretary. The Corporate Secretary will be responsible for ensuring the organization's compliance with legal and regulatory requirements, supporting corporate governance practices, maintaining the company’s statutory records, and coordinating board and committee meetings. Additional responsibilities include preparing and producing minutes, reports, and official documentation, and serving as a liaison between the board and stakeholders while assisting the senior management in administrative and compliance matters.

Job responsiblities
:

  • Coordinate and gather briefing materials to assist Directors in preparing for meetings and performing their policy and oversight role.
  • Develop guidelines and templates for management to support agenda items.
  • Establish timelines for meeting preparation and ensure adequate internal review.
  • Assist management in meeting preparation and ensure Board requirements are communicated.
  • Identify items requiring Board approval, draft resolutions, and ensure legal review as needed.
  • Minute the proceedings and resolutions of all Board meetings, including key discussions, recommendations, decisions, implementation updates, dissenting opinions, and attendance records.
  • Draft and maintain minutes of all Board and committee meetings.
  • Prepare and manage Board correspondence and maintain records of Board decisions.
  • Ensure confidentiality of all Board and committee matters.
  • Manage logistics for Board, Committee, and Annual/Extraordinary Meetings.
  • Promote strong corporate governance practices and act as an information source for Directors and employees.
