We are seeking a Corporate Associate with four to six years of transactional experience, ideally with meaningful exposure to M&A in the health care services sector. This attorney will support a nationally recognized team working with private equity firms, large medical groups, and other health care services organizations on complex, multi‑state acquisitions. The ideal candidate is a strong corporate deal lawyer who is excited to build deeper experience specifically within the health care transaction space.

- Juris Doctorate (JD) required. Must be licensed to practice in the state where the office resides.
- Strong academic record from ABA accredited law school required.
- Corporate transactional experience, with demonstrated involvement in M&A.
- Exposure to health care transactions (or strong interest in building this niche).
- Excellent drafting, analytical, and communication skills required.
- Ability to manage and prioritize multiple matters in a fast‑paced environment.
- Support and lead components of health care‑focused M&A transactions, including:
- Draft and negotiate a broad range of corporate agreements and transaction documents.
- Assist with deal structuring, transaction strategy, and closing processes for a variety of medical entities including Primary Care, Emergency Medicine, Concierge Medicine, and Multi‑specialty groups.
- Coordinate health‑care‑specific due diligence with regulatory attorneys.
- Work directly with physician owners, practice leaders, PE portfolio companies, and health care operators throughout the transaction lifecycle.
- Contribute to the development and structuring of provider‑affiliated entities, MSOs, and group practice models.
This job operates in a clerical, office setting. This role routinely uses standard office equipment including, but not limited to computers, telephones, printers, and copiers.
Physical RequirementsSedentary work:
Exertion of physical strength to lift, carry, push, pull, or otherwise move objects up to 10 pounds. Work involves sitting most of the time. Walking and standing is often necessary in carrying out job duties.
Worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading.
