Corporate Paralegal

We are a boutique international law firm with a sophisticated cross-border practice, seeking an experienced Corporate Paralegal to join our New York or Miami office. • Assist attorneys with domestic and cross-border mergers, acquisitions, joint ventures, venture capital transactions and corporate restructurings from inception through closing
• Prepare, review, and organize transaction documents including purchase agreements, ancillary agreements, disclosure schedules, and closing checklists
• Conduct and manage due diligence processes, including coordinating virtual data rooms, tracking document requests, and summarizing diligence findings
• Draft and file entity formation, qualification, and governance documents; maintain corporate minute books and entity records
• Coordinate with foreign counsel, clients, and counter parties across multiple time zones to ensure timely deal execution
• Prepare UCC financing statements, lien searches, and related secured transactions documentation
• Manage pre- and post-closing obligations, including preparation of closing binders and post-closing filings
• Support attorneys on general corporate governance matters, board resolutions, officer certificates, and annual reporting requirements
• Assist with billing, matter management, and client correspondence as needed

• 2+ years of corporate paralegal experience, preferably at an international or large law firm
• Bachelor's degree required; paralegal certificate a plus
• Demonstrated experience with M&A, private equity, or complex commercial transactions
• Proficiency with virtual data rooms (Intralinks, Datasite, or similar)
• Strong organizational skills and ability to manage multiple deals simultaneously under deadline pressure
• Exceptional written and verbal communication skills
• High degree of discretion, professionalism, and attention to detail
• Proficiency in Microsoft Office Suite; experience with legal matter management software a plus
• Foreign languages (particularly, Spanish or Portuguese) a plus

Salary range: $75,000 – $110,000 annually, depending on experience, plus discretionary bonus. Our firm is committed to equitable compensation.
