Overview

Responsibilities- Conduct due diligence for buy‑side and sell‑side transactions, focusing on state & local tax implications.
- Interact directly with Partners and the Federal M&A team on client and engagement management topics.
- Review and analyze the state/local tax aspects of acquisition and merger agreements; draft tax opinion letters, memoranda, and advisory reports.
- Identify and analyze state & local tax risks and opportunities, and advise on alternative strategies for acquisitions, dispositions, and restructuring.
- Review, assess, and advise clients on state/local tax computations reflected in financial models, and assist with quantitative and qualitative tax analysis of transaction projections.
- Gather data, review documents, and analyze reports; conduct research and financial analysis of target companies.
- Address issues and questions for internal clients and prospective clients, and communicate with key stakeholders throughout the transaction.
- Assist with quantification of potential liabilities and voluntary disclosure projects; provide negotiation support.
- Communicate with business owners to ensure delivery of exceptional client service.
- Manage a team of associates and senior associates on engagements, ensuring developmental growth and high‑quality work.
- Assist with client engagement staffing, billings/collections, and ensure client profitability targets are met.
- Network and build relationships internally and externally to support business development and community engagement.
- Invest in professional development through firm‑wide learning programs and support the growth of team members through the Baker Tilly Care & Teach philosophy.
- Bachelor’s degree in Accounting, Finance, or a related field (Master’s or advanced degree preferred).
- CPA or JD/LLM required.
- Five (5) or more years of state and local tax experience; experience at a professional services firm preferred.
- Two (2) or more years of supervisory experience, including mentoring and counseling associates.
- Demonstrated ability to lead and supervise others while delivering exceptional client service.
- Strong commitment to continuous learning and staying current with applicable strategies and regulatory developments.
- Excellent analytical, ethical, and communication skills with a sense of urgency and dedication to quality and timely project completion.
- Eligibility to work in the U.S. without sponsorship (highly preferred).
For California, Colorado, New York, and Washington, the compensation range is $86,220 to $182,770. Actual compensation is influenced by factors such as skills, experience, qualifications, and geographic location.
