Regulatory Compliance Specialist
Manpower Group is seeking a highly skilled Global Legal Analyst (Paralegal) with strong experience in U.S. securities reporting and corporate governance to support a multinational legal function. This role plays a key part in preparing SEC filings, supporting Board and Committee governance processes, and maintaining global entity records. The ideal candidate is detail‑oriented, thrives in a deadline‑driven environment, and exercises strong judgment when managing sensitive and cross‑border matters.
Key Responsibilities SEC Reporting & Disclosure- Coordinate, draft, proof, and file Forms 10‑K, 10‑Q, 8‑K, and Section 16 filings (Forms 3/4/5) through EDGAR.
- Support preparation of Proxy Statements, including governance disclosures, compensation tables, shareholder proposals, and related‑party transactions.
- Assist with registration statements such as Form S‑3 and Form S‑8.
- Maintain disclosure controls and procedures; coordinate XBRL tagging with Finance and external vendors.
- Track regulatory updates related to reporting, governance, and insider trading.
- Support D&O questionnaires, beneficial ownership tracking, blackout periods, and insider lists.
- Prepare Board and Committee materials, minutes, resolutions, and annual calendars.
- Support annual shareholder meeting logistics, including notices and coordination with transfer agents and proxy solicitors.
- Manage onboarding/offboarding documentation for directors and independence assessments.
- Maintain global subsidiary records, including formations, registrations, officer/director changes, and statutory filings.
- Partner with local counsel on entity management activities.
- Monitor global compliance calendars and ensure accurate intercompany documentation.
- Work closely with Finance, Accounting, Tax, Treasury, HR, Investor Relations, Internal Audit, and external counsel to meet key reporting and governance milestones.
- Ensure consistency between SEC filings, press releases, and investor presentations.
- Paralegal qualification/certificate and 5–8+ years of experience in a legal department or law firm with direct SEC filing experience.
- Proficiency with EDGAR filings and disclosure platforms (e.g., Workiva, Toppan Merrill).
- Strong understanding of U.S. securities laws, corporate governance standards, Exchange Act reporting, Section 16, and proxy rules.
- Excellent project management and organizational skills with the ability to meet tight deadlines.
- Strong written and verbal communication skills with the ability to translate complex regulations into clear outputs.
- Proficiency in Microsoft 365 (Word, Excel, PowerPoint, SharePoint/Teams).
- Experience with global entity management and platforms like Diligent Entities.
- Prior work in a public company legal department or capital markets practice.
- Familiarity with NYSE/Nasdaq listing rules, insider trading compliance, Reg FD, and SOX disclosure controls.
- Strong judgment, discretion, and integrity when handling sensitive matters.
- High attention to detail, accuracy, and accountability.
- Ability to manage multiple priorities and operate effectively in a fast‑paced environment.
- Strong collaboration with cross‑functional and global stakeholders.
