Position Summary:
The Senior Program Manager, Ethics & Compliance owns and leads the day-to-day delivery of Sky Water's Antitrust Compliance Program. Reporting to the Director, Ethics & Compliance, this role has full programmatic accountability for the development, implementation, oversight, and continuous improvement of the company's antitrust compliance program. This role serves as the company's subject matter expert on antitrust compliance, partners closely with Legal and business partners to ensure compliance with antitrust laws, regulatory obligations, and internal policies.
The Senior Program Manager exercises independent judgment across key areas and serves employees across Sky Water's Minnesota, Texas, and Florida operations. The Senior Manager partners closely with the Director to ensure the program is well-designed, effectively implemented, and operates in accordance with the Federal Sentencing Guidelines and the DOJ's Evaluation of Corporate Compliance Programs (ECCP), and interfaces directly with regulatory bodies as required.
Responsibilities:
- Develop and maintain antitrust policies, procedures, and guidance documents. Collaborate with cross functional partners to drive execution, implementation and adherence to such policies.
- Establish and manage governance structures, including any necessary steering committees and working groups, and serve as the senior functional authority on antitrust compliance matters escalated from across the business. Ensure escalations are risk reviewed, cataloged, and elevated to the Director as necessary to appropriately govern the program.
- Coordinate implementation and monitoring of antitrust compliance requirements across business functions.
- Implement, own, and advance a mature compliance program that meets Compliance Framework expectations and has all elements of an effective compliance program under the ECCP, and is defensible to external regulators.
- Develop and maintain antitrust compliance dashboards, key performance indicators and any required reporting, including reporting to the Director, executive leadership, and external parties as required.
- Lead compliance activities. Create a depository of obligations and inventory control framework to track activities.
- Administer information firewall requirements, including tracking non-disclosure agreements and roster status, and supporting personnel change notices; serve as the primary operational point of contact for compliance obligations and inquiries. Training & Communications.
- Design, develop, and coordinate deliver of antitrust training to employees across functions, roles, and risk levels; evaluate training effectiveness and drive continuous improvement.
- Lead the design and execution of awareness campaigns and communications for ongoing education; tailor messaging by audience and risk exposure; maintain records of training delivery and completion to support required regulatory reporting and audit needs.
Risk Assessment & Monitoring
- Lead periodic antitrust compliance risk assessments, exercising senior-level judgment to prioritize risks and translate findings into program enhancements.
- Develop monitoring and testing activities to assess compliance effectiveness across the organization.
