The Transaction Advisory team delivers critical insights and support for clients navigating business acquisitions and sales. With deep middle-market expertise and national resources, we provide tailored due diligence services that uncover opportunities, assess risks, and highlight areas for improvement. Serving private equity groups and corporations, the team offers buy-side and sell-side due diligence, tax due diligence, and transaction structuring-ensuring clients are well-informed and positioned for successful outcomes

What You Will Do
- Perform buy-side and sell-side tax due diligence for private equity groups and corporate clients
- Analyze tax risks of target companies using tax returns, accounting information, and interviews with management
- Review and analyze reports correlating tax diligence and tax structuring findings with client valuations
- Identify issues affecting purchase price, deal structure, or deal termination
- Read in and advise clients with respect to purchasing agreements
- Recommend post-acquisition actions to achieve tax efficiency and minimize tax risks
- Work closely with executives, investment bankers, private equity and corporate clients, attorneys, or other stakeholders
- Work alongside other Forvis Mazars team members to exceed client expectations
Minimum Qualifications
- Bachelor s degree in accounting or related field from an accredited college/university or JD
- Two (2) plus years of experience in corporate or partnership tax from a large public accounting or consulting firm
- Recent experience with corporate and pass-through tax concepts
- Proficiency with Microsoft Office, primarily Excel and Power Point
- Extensive analytical and project management skills, including the ability to meet deadlines in a fast-paced environment
- Experience with corporate and flow-through concepts
- Excellent written and verbal communication skills
- Ability to develop relationships with both team members and external clients
Preferred Qualifications
- JD or master s degree in taxation
- CPA license or admission to state bar
- Experience in M&A transaction tax from a large public accounting or consulting firm
- Strong current knowledge of U.S. federal income tax, mergers, and acquisitions, and transaction services
- Current knowledge of state and local tax
