Position: Manager / Senior Manager, Equity Administration
Location: California

Position Overview

Manager / Senior Manager, Equity Administration responsible for end-to-end administration of the Company’s equity compensation programs and supporting overall compensation planning and execution. The role ensures accurate equity award administration, compliance with tax and securities regulations, and strong cross-functional coordination across Finance/Accounting, Legal, Payroll and external vendors.

Job Responsibilities
  • Lead the end-to-end administration of the Company’s equity compensation programs in the U.S. and U.K., including RSU, PSU, RSA grants, vesting, releases, forfeitures, cancellations, and terminations.
  • Oversee executive and director equity administration, managing grant processing, vesting events, and coordination with Legal, brokers, and transfer agents.
  • Analyze performance-based equity metrics, validate LTIP data and support quarterly valuation, reporting and dividend equivalent calculations.
  • Maintain integrity of equity transactions, tax withholding, termination activity and vendor data through reconciliation practices, documented controls and proactive issue resolution.
  • Serve as primary point of contact for complex employee and executive equity inquiries, translating technical concepts into clear guidance.
  • Partner with Legal to support SEC-related equity requirements, including Section 16 filings (Forms 3, 4,
    5) and quarterly reviews and year-end audits.
  • Maintain and enhance internal controls, procedures and documentation related to equity administration and reporting.
  • Manage the Insider Trading List and Trading Window in accordance with Company policy.
  • Work with Payroll to ensure accurate equity-related tax withholding and reporting.
  • Administer UK equity programs ensuring compliance with local tax, reporting and regulatory requirements, and coordinate filings and reporting with stakeholders and vendors.
  • Act as functional owner of the Company’s equity administration platform, identifying opportunities to improve reporting, controls, automation and operational efficiency.
  • Collaborate with Legal, Finance/Accounting, Payroll, HR and executive stakeholders to support effective equity program execution.
  • Lead or support equity-related initiatives focused on process improvement, governance, documentation, education and employee experience.
  • Partner with Total Rewards to support annual and off-cycle compensation processes, including merit, bonus, equity, promotions and market adjustments.
  • Prepare reporting and analytics to support compensation decisions and budget tracking, and conduct job evaluations and market pricing using compensation survey data.
Qualifications
  • Manager level: 5+ years of equity plan administration or related experience and demonstrated ownership of equity programs, process improvement initiatives, controls and cross-functional problem solving.
  • Senior Manager level: 7+ years of equity plan administration experience and direct, recent ownership of end-to-end equity administration in a public-company environment.
  • Experience administering RSUs, PSUs, RSAs and executive equity.
  • Strong understanding of equity-related tax, accounting, legal and regulatory requirements, including audit and SEC considerations.
  • Experience supporting SEC-related equity requirements, including Section 16 filings (Forms 3, 4,
    5).
  • Demonstrated ability to operate in a highly regulated, deadline-driven environment with exceptional attention to detail.
  • Proven ability to partner cross-functionally with Legal, Finance/Accounting, Payroll, HR and external vendors.
  • Experience with equity administration platforms (e.g., Equity Edge) and vendor relationship management.
  • Strong written and verbal communication skills, with ability to explain complex equity concepts clearly to employees and executives.
Preferred Qualifications
  • CEP or similar equity-related certification.
  • Experience administering equity programs in the United Kingdom, including local tax, reporting and compliance requirements.
  • In-house equity administration experience with sustained ownership of execution, controls and program outcomes.
