Job Summary Strategy

  • Provide legal support and advice (including on corporate law issues) to all stakeholders across the Group for the Group’s own account corporate and M&A transactions, projects and matters, including: acquisition, divestment, joint ventures, equity/debt investment activities, and other corporate projects or actions (including Group restructurings) which affect the Group structure.
Business
  • Ensure close coordination with other Legal function teams. Where external counsel is appointed, liaise with external counsel and ensure the scope of work is defined and appropriate, oversee the quality of work and manage external legal costs and ensure appropriate overall matter management.
Processes

Participate in all aspects of the transaction process including due diligence, structuring, negotiating and completing the transaction. The team is responsible for, inter alia:

  • Drafting/Reviewing and Negotiating NDA, Term Sheets, Exclusivity Letters, Offer Letters, Engagement Letters etc
  • Instructing & Managing External Counsel on M&A transactions
  • Managing Legal Due Diligence
  • Negotiating the Sale & Purchase Agreement, Subscription Agreement, Shareholders’ Agreement and other Transactional Documents
  • Liaising with stakeholders and other functions within the Group on the M&A transaction and transaction documents
  • Managing the Legal Process to Completion
Key Responsibilities People and Talent

Promote a culture and practice of good conduct of business and adherence to legal standards within the Group.

Risk Management
  • Ensure that corporate projects and initiatives have the necessary legal and regulatory clearance; liaising with business teams, with other functions and with Legal and Compliance teams to ensure that corporate projects and initiatives are consistent with the Group’s standards.
  • Anticipating, identifying, mitigating, monitoring and reporting legal risks in relation to corporate projects and initiatives as required by Group’s risk management framework.
Governance
  • Establish strong relationships with key stakeholders at all levels, while independently performing own duties.
  • Work with Businesses and Functions and colleagues in the Legal Function to identify and develop process enhancements and simplification opportunities and innovative solutions to improve and enhance efficiency of legal operations and service delivery.
Regulatory and Business Conduct
  • Display exemplary conduct and live by the Group’s Values and Code of Conduct.
  • Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
  • Effectively and collaboratively identify, elevate, mitigate and resolve risk, conduct and compliance matters.

  • Specialist, Due Diligence and Integration teams engaged in M&A activities, eg HR, IT&O, Risk etc
  • Group Functions, including Corporate Secretariat, Group Treasury, Group Tax, Group Finance, Risk, Group Corporate Affairs etc
  • Legal and Compliance teams – group, business and country

    Perform other responsibilities assigned under Group, Country, Business or Functional policies.
