Job Title :  Company Secretary (CS) – Compliance & Transactions
Experience :  2–5 years  (Qualified Company Secretary)

Role Overview
We are looking for a  hands-on Company Secretary  who can independently manage  day-to-day corporate compliances  while also supporting  M&A, restructuring, and transaction-related work . This is a core role working closely with founders, legal advisors, and external consultants.

Key Responsibilities

Corporate Compliance & Governance
Manage ROC, MCA, SEBI (if applicable) compliances
Drafting and maintenance of board minutes, resolutions, registers, and statutory records
Annual filings, event-based filings, and corporate governance support
Liaison with regulators, auditors, and external legal counsels

M&A / Transactions / Structuring
Support mergers, acquisitions, demergers, and restructuring exercises
Due diligence support (secretarial & legal)
Coordination during deal closures and post-transaction compliances

Ongoing Advisory Support
Advisory on Companies Act, FEMA, LLP, and allied laws
Support fundraising, investor reporting, and documentation

Desired Profile
Qualified Company Secretary (ICSI)
2–5 years of relevant experience (CS firm / law firm / corporate)
Strong exposure to  M&A or transaction support  (not just routine filings)
Comfortable working in a  fast-paced, founder-driven environment
High ownership, attention to detail, and clear communication

Good to Have

Experience with startups, PE/VC-backed companies, or professional services firms
Basic understanding of FEMA, ESOPs, and shareholder agreements
Prior exposure to multi-entity structures
