The Vice President of Investor Relations & Business Development (VP, IR & BD) is a strategic finance executive responsible for leading the company's investor relations strategy and execution, overseeing capital markets communications, and driving the evaluation and execution of mergers, acquisitions, divestitures, and strategic investments. Reporting to the Chief Financial Officer, this role serves as a key liaison between executive leadership, the Board of Directors, investors, analysts, and potential acquisition targets while supporting the company's growth strategy and shareholder value creation objectives.
The VP, IR & BD combines expertise in corporate finance, capital markets, strategic planning, financial analysis, and transaction execution to develop and communicate the company's investment thesis and identify strategic opportunities that accelerate long-term growth.
Key ResponsibilitiesInvestor Relations Leadership
- Develop and execute a comprehensive investor relations strategy aligned with corporate objectives and shareholder value creation.
- Serve as the primary point of contact for institutional investors, equity research analysts, rating agencies, and other members of the investment community.
- Lead preparation and execution of quarterly earnings processes, including earnings releases, investor presentations, conference call materials, and management Q&A preparation.
- Develop clear and compelling investor messaging regarding company strategy, financial performance, capital allocation priorities, and growth initiatives.
- Monitor investor sentiment, shareholder composition, trading activity, analyst coverage, and market trends.
- Provide regular feedback and market intelligence to executive leadership and the Board of Directors.
- Coordinate investor meetings, conferences, non-deal roadshows, and investor days.
- Ensure compliance with SEC regulations, disclosure requirements, and corporate governance standards related to external communications.
- Partner with Legal, Finance, and Corporate Communications to maintain consistent and accurate public disclosures.
- Lead the development and execution of the company's M&A strategy in support of corporate growth objectives.
- Identify, evaluate, and prioritize acquisition, divestiture, joint venture, and strategic partnership opportunities.
- Conduct financial modeling, strategic assessment, valuation analysis, and business case development for potential transactions.
- Lead financial and strategic due diligence efforts, including coordination with internal stakeholders and external advisors.
- Structure, negotiate, and execute transactions in partnership with senior leadership, legal counsel, and investment bankers.
- Develop acquisition integration and value‑capture plans in collaboration with business leaders.
- Monitor transaction performance and realization of expected synergies and strategic objectives.
- Maintain a robust pipeline of potential acquisition targets and strategic opportunities.
- Serve as a trusted advisor to the CEO, CFO, and executive leadership team.
- Present strategic recommendations and transaction analyses to executive management and the Board.
- Build strong relationships across finance, legal, business unit leadership, and external stakeholders.
- Lead and develop high-performing investor relations and corporate development team members.
- Manage relationships with external advisors, including investment banks, legal counsel, proxy advisors, and investor relations consultants.
Education
- Bachelor's degree required.
- MBA, CPA, CFA, or other advanced financial credential preferred.
